Under the Distribution Channel Management (DCM) Department and reporting to the Legal Counsel – Global Contracts, this position is responsible for managing the contractual agreements with Cook Medical’s distributors in the assigned region, include but not limit to drafting agreements, monitoring and supporting the distributors, ensuring the distributors are operating the business in full compliance with all applicable legal and regulatory requirements. Besides, this role will also work closely with a broad range of departments, including Ethics & Compliance, Legal, Finance, Regulatory Affairs, in addition to Vascular and MedSurg Divisions.
Responsibilities:
1. Manage a diverse portfolio of distributor agreements on behalf of Cook Medical.
2. Monitor and ensure distributor data accuracy, contract performance and compliance.
3. Monitor distributor ethics & compliance in accordance with Cook Medical policies and procedures, in additional to all applicable laws and regulations.
4. Under the guidance of Legal Counsel – Global Contracts, draft and review commercial contracts (including service level agreements, distributor or other third party intermediary agreements, NDAs, letters of engagement).
5. Update DCM training assets to incorporate existing and new policies.
6. Maintain contractual records and documentation (such as receipt and control of all contract correspondence, customer contact information sheets, contractual changes, status reports and other documents) for all projects.
7. Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness.
8. Ensure timely contract close-out, extension or renewal.
9. Keep leadership properly informed on a timely basis concerning actual and potential legal issues facing the business.
10. Keep the organization's vision and values at the forefront of decision-making and action.
11. Build strategic partnerships to further departmental and organizational objectives.
12. Willingness & availability to travel on company business.
13. Ensure that Cooks Code of Conduct is considered in all business matters carried out on Cook’s behalf.
Requirements:
1. Relevant law degree or equivalent combination of education and work experience desired.
2. A minimum of 5 years’ experience in Life Sciences industry or as a Contract Manager within the hospital provider marketplace or medical device industry.
3. Wide exposure to regulatory and legal frameworks within the medical device industry preferred.
4. Experience negotiating and drafting complex commercial agreements primarily in English. Additional language skills are an advantage.
5. Excellent interpersonal skills with a track record of developing strong working relationships.
6. The ability to manage workload and make decisions/give advice independently.
7. The ability to demonstrate financial literacy.
8. Comfortable working in a fast-paced environment; with a solid head for business.
9. Frequent and extensive travel across the assigned region is required
