职责一Responsibility One：
金融保险机构关系管理
Public relationships management with financial institutes and credit insurer for investment and project financing
1.定期（至少每月一次）拜访中信保，交流所负责投融资项目信息；
To regularly visit Sinosure (at least once one month) Shandong Branch, to communicate information of projects involved in IPF;
2.根据需要加强与中外合作银行的交流，定期安排拜访，征集各家银行对有关地区、国家的支持倾向和风险研判；
To enhance the communication with Chinese/International banks as per actual demand, regularly visit some related banks, and collect their support trend and risk assessment to related countries and districts;
3.根据需要陪同信保和相关银行拜访国外项目业主，参观拟参股或协助融资项目；
To accompany related banks or Sinosure to visit the owners of overseas projects for looking over the projects involved with investments or assistance for project financing ;
4.及时（不迟于问题提出后三天，原则上日事日毕）解答信保和银行提出的问题，按照工作计划提交相关资料；
To timely reply questions raised by Sinosure and banks (not later three days after the questions are raised, and in principle the same shall be done within same day), and submit related documents as per work plan;
5.联络银行、信保参加公司供应商年会，参加信保或银行组织的投融资项目交流会；
To contact with banks and sinosure for taking part in the annual meeting with various suppliers, and attend meeting regarding IPF organized by Sinosure or banks ;

职责二Responsibility Two：
完成项目投标阶段投融资相关工作
complete related work relating to IPF in bidding stage
1.参与投融资项目招标文件相关内容的审核；
To participate in the assessment and check to related contents in bidding documents for these projects involved in IPF;
2.按照投融资项目投标需要，及时联系相关银行办理兴趣函、意向函或融资建议书；
To contact with related banks to handle Letter of Interest, Letter of Intent or Financing term sheet as per tender requirement of projects involved in IPF ;
3.按照投融资项目投标需要，及时填写询保单联系信保办理兴趣函；
Depending on tender requirement of projects involved in IPF, fill in the application for Sinosure’s insurance and contact with Sinosure to issue the LOI；
4.参加项目澄清会议，对出口信用保险/海外投资险和投融资相关事宜进行澄清；对业主提出的相关问题进行及时答复。
Attend the project clarification meeting, and make clarification for Export Credit Insurance/ Overseas Investment Insurance from ECA and related affairs about IPF; and shall make timely feedback for related questions raised by owners.
5.参与投融资项目MOU的审核、签订；
Take part in the check and signing of MOU for projects involved in IPF;
6.在项目业主承诺授予EPC合同或付费的前提下，代为组织项目可行性研究。
To make the project feasibility study on behalf owner provided that the owner promises to grant the EPC contract to SPECOIII in writing or pay related charges;

职责三Responsibility Three：
组织项目投资的尽职调查和可行性研究
Organize the due diligence and feasibility study for investment; participate in related financial work for setting up of project company
1.在项目筹备组、财务部的配合下，负责联系国际/当地会计师事务所，开展对其他股东、项目自身的财务尽职调查；
Responsible for communications with international/local accounting firms to make the due diligence to other shareholders of SPV and the project itself, under the assistance of finance department and the project working team ;
2.负责联系法律事务部，督促其牵头组织对其他股东、项目自身的法律尽职调查；
Responsible for contacting with legal department to push them to lead the legal DD to other shareholders of SPV and the project itself;
3.负责联系鸿瑞公司/其他部门，督促其牵头组织对当地电力市场的行业尽职调查；
Responsible for contacting with HongRui or other responsible department to push them to lead the industry DD to local electricity market;
4.负责汇总、审核尽调报告，必要时组织翻译。
Responsible for summary and check of DD report and organizing the translation of the same if necessary.
5.负责配合设计院组织项目的可行性研究，联系财务顾问/投资管理部建立财务模型分析投资可行性（经过3-6个月的学习后，原则上要求能够自行编制财务模型）。
Responsible for coordinating with designer to make feasibility study, and contacting with financial advisor/IMD to set up the financial model to analyze the feasibility of investment (after study and training of 3-6 months, shall be able to make financial model by yourself in principle);
6.负责审核财务模型，并汇总、审核项目可行性报告。
Responsible for checking the financial model, and summarize and check the project feasibility study report;

职责四Responsibility Four：
参与项目公司设立的相关财务工作
Take part in related work for setting up the project company (SPV)
1.牵头组织股权合作协议、公司章程起草或审核；
Lead and organize drafting or check of Shareholders’ agreement and article of association;
2.在获得集团公司和国家相关部委审批后，督促相关部门按照协议要求投入认缴资本金，参与项目公司的注册；
Urge related departments to pay the paid up capital as per agreement after getting the approvals from Powerchina and related ministries, and participating in the registration of SPV;
3.参与项目公司与当地政府签订IA、PPA；
Take part in signing the PPA, IA and other important agreement between SPV and local government;
4.参与EPC合同、O&M合同的招标谈判以及财务条款审核；
Participate in the tender and negotiation and assessment of financial clauses for EPC contract and O&M contract.
5.参与燃料供应协议的起草、谈判以及燃料供方选择；
Participate in drafting and negotiating of fuel supply agreement, and choosing of fuel suppliers;
6.及时搜集相关重要协议、合同，做好整理备案；
Timely collect all relatedly important agreements and contracts, and sort out the same for archiving.


职责五 Responsibility Five:
办理项目投融资相关联系、审核和审批工作deal with related work for project financing, such as communication with related parties, examination and approval from Powerchina and related governmental ministries/bureaus.
1.对于BD（business development）团队搜集到的以投资撬动EPC合同的项目，按照集团要求和公司相关部门通知上报投资计划。
For the projects involved in investment which can bring about EPC contracts, to submit the investment plan as per requirements of Powerchina and informs of related departments of Company.
2.在公司决策层根据尽职调查和可研报告结果做出投资决策后，按照集团规定办理上报审批流程。
To handle the submission and approval procedure as per regulation of Powerchina after the management of company makes the decision for investment based on the results of DD and Feasibility study.
3.及时跟进集团公司相关部门、领导的审批进度，必要时请领导协调；
Timely track the examine and approval progress from related departments and leaders of Powerchina, if necessary, request company leaderships to coordinate this issue.
4.集团公司批复后，根据投资额度到国资委、省商务厅/商务部、省/国家发改委办理审批手续。After approval of Powerchina, go to SASAC, MOC/Provincial Bureau of Commerce, Provincial/National DRC for permission as per investment amount.
5.跟踪信保项目融资的审批流程，及时补充资料、解答问题，必要时协同催办。
Follow up the internal examine and approval procedure of Sinosure, and timely supplement necessary documents and reply questions, if necessary, shall coordinate with local branch to urge their headquarters.
6.跟踪融资银行的内部审批流程和银团组成情况，及时补充资料、解答问题，必要时协同催办。
Follow up the internal examine and approval procedure of financing banks and constitution of loan syndication, and timely supplement necessary documents and reply questions, if necessary, shall coordinate with local branch to urge their headquarters.
