Legal Manager（法务经理）
(某欧洲百货公司招聘法务经理。要求:10年以上经验，最好同时有律所和企业的经验，以及投资和并购等项目的谈判经验。)
Responsibilities
§ Responsible for the Refining & Marketing (RM) legal team in China (1-2 subordinate)
§ Provide legal advice and guidance with regards to the new business investment opportunity in China.
§ Advise management on all legal matters.
§ Act as Board Secretary for China holding and its major affiliates.
§ Participate in the contracts negotiation and documentation for important investment programs and projects, evaluate and participate negotiation of the terms; Using business and contract negotiation knowledge, identify issues, develop and analyze alternative solutions, make recommendations and implement solutions.
§ Responsible for ensuring the Company and all of its Chinese RM Affiliates compliance with the respective laws and regulations including but not limited to registration, licenses, filings, renew and record.
§ Coordinate with and supervise the works of external legal firms.
§ Responsible for Disputes Resolution of the company and its major affiliates through amicable ways or via litigation.
§ Organize legal training, coaching, workshops for the business divisions and affiliates all over China.
§ Legal Due Diligence, Auditing, Compliance Review on the Affiliates all over China.
§ Keep up-to-date with changes in laws, regulation, rules which may affect the Company’s business. Provide updates/ or advise to company management.
§ In charge of corporate filing.
§ Contact with Total HQ Legal Division - Intellectual Property for counterfeit products and Trademark protection cases in China.
Qualification
§ Chinese nationality.
§ Master Degree of Law
§ Chinese Bar Admission
§ More than 10 years work experience and knowledge in legal fields, esp preferably in regard to foreign direct investment in China, specialized rules relating to oil industry, contract law, company law, real estate, dispute settlement.
§ Good knowledge of Chinese law and legal matters in China.
§ Fluent English and French would be a plus.
