What You Will Do
?Structure, negotiate and draft strategic commercial agreements (e.g. customer, distributor and supply contracts).
?Act as a business counselor and strategic advisor to Ecolab’s Shanghai-based Greater China leadership team.
?Manage disputes and litigation to achieve practical and cost-effective results.
?Assist as needed on acquisitions, particularly in due diligence and integration processes.
?Advise on legal risk and ethical compliance in Greater China, including compliance with the Foreign Corrupt Practices Act, anti-corruption laws and Ecolab’s Code of Conduct. Recommend options to address issues and risk and support related investigations.
?Manage Greater China intellectual property matters in cooperation with Ecolab’s U.S.-based patent and trademark counsels.
?Manage external legal expenses in Greater China to ensure value is provided on a cost-effective basis.
?Control and update legal and corporate documentation, including intercompany agreements.
?Coordinate with Ecolab’s U.S.-based divisional counsels to enable divisional objectives and implement commercially consistent practices within Greater China.

?Excellent academic credentials, including qualification to practice law in the People’s Republic of China.
?Academic credentials from a U.S. law school (e.g., LLM) strongly preferred but not required.
?15 years of corporate and commercial law experience working in a top-tier law firm and/or in-house with a multinational corporation in the manufacturing or industrial sector.
?Significant experience in structuring, negotiating and documenting complex commercial transactions.
?Ability to command the respect of, and communicate effectively with, a diverse range of business leaders and legal partners in both Greater China and North America.
?Ability to direct and manage outside counsel to achieve cost-efficient results
