POSITION SUMMARY: Supports Gates operations and business lines in the APAC Region (excluding India) by advising on Company commercial transactions, M&A, joint ventures, employment and governance issues. Position reports to the Assistant General Counsel – APAC of Gates Corporation.
ESSENTIAL DUTIES AND RESPONSIBILITIES: include the following; other duties may be assigned.
1. Contract Management and Negotiation (60%):
o Monitor and improve process for contract management, review and negotiation; advise all levels of business partners on a broad range of business transactions; update and develop standard documentation to protect Company’s best interests on contractual commitments, balance and optimize risks, gain greater commercial benefits and ensure Company is protected legally.
o Ensure business goals are met in a way that complies with applicable laws and regulations and Gates corporate requirements; support and promote Gates corporate requirements and ethical standards within the business community in the region.
2. Employment (15%):
o Act as a point person for legal support on assigned labor and employment matters and collaborate with Human Resources to mitigate employment related risks.
o Review legal documents in support of labor and employment matters (e.g., offer letters, separation agreements, separation letters, etc.).
3. Corporate Governance (15%)
o Provide legal assistance to clients on corporate governance matters and regulatory reporting requirements.
4. Regulatory (10%)
o Advise Gates’ teams on the application of various global environmental and product safety regulatory schemes.
QUALIFICATIONS: To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or ability required. Reasonable accommodations may be made to enable individuals to perform the essential functions.
? Bachelor of law degree or above from a good domestic or overseas university.
? Called to bar in China or a common law jurisdiction.
? Approximately 10-15 years of experience, preferably a good mixture of major law firm and in-house, with manufacturing industry experience.
? Solution-driven and results-oriented, with outstanding organizational and analytical skills. Business savvy with the ability to work successfully with high level business clients and to evaluate and accept appropriate risks to protect shareholder value.
? Excellent oral and written communication skills in both English and Mandarin. Have the ability to communicate and collaborate effectively across diverse internal groups and multiple jurisdictions and cultures as well as external stakeholders.
? Desire to work as part of a team, with the ability to motivate others and to facilitate problem solving; willingness to go further to enhance collaborative and professional excellence team culture.
? Must have the initiative to anticipate needs, identify process improvements and provide solutions.
