The Asia-Pacific Capital Markets Group (“CMC”) comprises fully dedicated, multi-lingual professionals committed to driving capital markets success for companies in the Asia-Pacific region by managing the capital raising process and by providing a broad base of transactions service. The CMC works with the local client service teams to assist companies with both U.S. Generally Accepted Accounting Principles (“US GAAP”) and International Financial Reporting Standards (“IFRS”) issues. This approach facilitates the capital transaction process by employing one service team possessing both an understanding of the company’s business and history as well as knowledge of U.S. accounting, auditing and regulatory issues.


Job summary:

As a Capital Markets Senior Manager, you will make a technical contribution to audit clients with a variety of cross border transactions including registered offerings of equity and debt securities in the U.S., securities offerings exempt from registration requirements of the U.S. Securities and Exchange Commission (“U.S. SEC”) and advice on accounting implications of various transactions such as restructuring prior to initial public offering, business combinations, share option accounting and revenue recognition, among others.


As an influential member of the EY team, you will support clients in executing their capital raising strategies and transactions through detailed support on accounting, regulatory and reporting matters across all jurisdictions in the international capital markets. Working collaboratively with clients, investment bankers, private equity, attorneys and others, you will bring together service lines including assurance, tax, transactions and advisory to ensure clients receive the highest-quality support.


Responsibilities:

Financial information support

  • Work with local client service teams to identify and address accounting and auditing issues and advise clients on the impact and direction of accounting and reporting.
  • Advise on compliance with the requirements of the Sarbanes Oxley Act (“SOX”) Section 404.
  • Provide technical and industry experience and insights to help clients understand the financial information implications of raising funds on international markets and of cross-border transactions.

Regulatory support

  • Interact with regulatory bodies and publish timely summaries of regulatory changes and revisions to keep clients apprised of the latest developments and best practices.
  • Assist clients in addressing U.S. SEC comments from regulatory filings.
  • Lead training sessions and client presentations to discuss emerging regulatory requirements and share best practice insights, information and experiences.

Capital raising support

  • Help issuers to be better prepared by supporting companies in understanding the regulatory requirements for IPOs and their impact on financial information, internal control and governance requirements and responsibilities.
  • Develop road maps for capital raising so that issuers can prioritize and allocate resources and management time appropriately.
  • Work closely with clients and their advisors in executing capital markets transactions.

To qualify, you must meet the following requirements:

  • University graduates with a minimum of 8 years of consultation experience in U.S. GAAP, IFRS, PCAOB auditing standards and SOX, preferably with reputable international accounting firms.
  • Qualified member of one of the major accountancy bodies.
  • Experience in handling complex and sizeable U.S. IPO assignments and U.S. SEC matters.
  • Excellent command of spoken and written English (proficiency in spoken and written Chinese will be an advantage).
  • Strong communication, interpersonal and organizational skills.
  • Able to interact effectively with both local client service teams and clients.
  • International travel is required.
