JOB TITLE: Legal Manager
REPORTING TO: General manager,Sales & Commercial　　　
　
1.Overall responsibility for all legal and related affairs of the Company.　
2.Draft and vet all Agreements / Contracts / Claims / Dispute Resolutions involving the
Company,including all memorandums of understanding, memorandums of agreement and
heads of agreement.　
3.Review all Agreements / Contracts / Claims / Dispute Resolutions prepared by
third parties/ suppliers and customers.　
4.Lead all negotiations to secure the best possible terms and conditions for the Company
on all agreements and contracts.　
5.Provide advice to management and the Company on all legal and legal-related matters.
6.Where required, act for the Company on all legal aspects relating to mergers and
acquisitions and attend all due diligence working group meetings.　
7.Handle and co-ordinate all litigation matters involving the Company.　
8.Ensure full compliance of the Company with all legislation in force.　
9.Coordinate and undertake legal due diligence of any corporate exercise or transaction.
10.Developing an effective policy for the protection, defense and commercialization of the
KNM's Intellectual Property assets. 　
11.Registration of intellectual property and patent applications, including domestic and
international registration and handling opposition proceedings and infringement and
validity assessment.　
12.Providing advice in relation to trademarks and trade secrets of intellectual property.
13.Participating in negotiation involving in and out licensing agreements and assignments.
14.Perform any other relevant duties as directed by the Management from time to time.
