Position Requirements:
1) Qualified attorney in China after a complete university law degree with excellent results;
2) Applicants should have at least 5+ years of broad commercial and corporate experience obtained at a top law firm or in a corporate legal department of a multinational of the telecom/ICT industry with a strong focus on commercial and contract management;
3) Legal/ business skills:
? Direct experience negotiating business transactions including some experience negotiating complex business transactions
? Ability to read and understand complex contract provisions and to draft language for inclusion in a broad range of contract types in Chinese and English
? Individual with a highly commercial approach who will thrive in a sales-oriented environment
? Ability to understand and interpret basic financial reporting
4) Critical Thinking:
? Track record of conducting careful and thoughtful analysis of complex legal and business agreements and ability to weigh and articulate the risk and reward of various scenarios
5) Team work skills:
? Self-reliant individual with a proven ability to work within a large team and experience working for multinational corporations

? Understand and works according to the commercial pressures of a sales business and fast-paced situations

Position Responsibilities:
The mission of the Legal Counsel is to provide qualified and efficient legal and contractual support to all RFS business, and thereby contribute to achieving RFS targets, operational excellence, profitability and risk control, to protect investment in technology, know-how and marketing, to ensure handling of information of RFS and others with the proper degree of care, and to support the RFS leadership team in securing compliance in operations with local and international laws and regulations.
The Legal Counsel has a broad range of responsibilities, including:
1) Draft, negotiate and process contracts with RFS customers, suppliers and partners. Agreement types include: direct sale of products and services, RFP/RFIs, resale, nondisclosure, license, evaluation, purchase and alliance agreements (offers, LoI, LoA, MoU, term sheets, framework and individual agreements, master agreements and implementation agreements, change requests, amendments, claims, settlements etc.);
2) Provide advice during contract execution, including the analysis of contract requirements and provisions as well as legal issues that might impact the business, support the implementation of remedial actions including change requests, amendments, claims etc. ;
3) Secure proper approval on legal, financial, technical and business issues raised in contracts according to applicable policies;
4) Support on intellectual property rights matters in the context of sales, procurement, partnership and development agreement;
5) corporate law matters, including by preparing boards of directors and shareholders’ resolutions in accordance with the RFS legal entities’ by-laws, minutes of meeting and monitoring of the execution of the shareholders’ orders and rules;
6) Prepare powers of attorney and their respective renewal;
7) Provide relevant guidance to the business teams on ethics and anti-bribery law, intellectual property law as well as regulatory matters (competition law, trade compliance and personal data protection);
8) Under the supervision of the RFS General Counsel, handle contacts with, instruct and carefully monitor external legal counsels engaged on local law matters (e.g. tax, employment, real estate etc..) and coordinate contacts with Group in-house lawyers;
9) Coordinate and closely follow up all litigations together with the engaged local external legal counsels;
10) Review, analyse and maintain standard contracts and guidelines and other commercial documents and tools required for contracts;
11) Participate on and lead departmental and cross-functional teams focused on continuous governance and process improvement;
12) Develop legal and contractual processes and guidelines, including by ensuring local implementation of global policies if any: authorizations to submit and sign agreements, grant of powers of attorney, filing & archiving rules for all contractual and corporate documents, engagement of external counsels and control and reporting of external legal costs etc.;
13) Assure conformity and consistency in application of RFS governance and business policies and practices and Group legal policies;
14) Support the training requirements of internal client organizations by continuous knowledge sharing and coaching on project specific basis and by providing general presentations regarding key legal/compliance/contract issues that impact the business;
15) Other duties as assigned.
