Position: Senior Legal Counsel 高级法律顾问

Key Responsibilities:

? Draft and review legal documents.
       起草、审阅法律文件
? Provide legal services to business units with modest supervision, including contract review, legal training and provision of advice on operational matter.
为公司业务部门提供法律服务，包括合同审核、法律培训，对运营事项提供建议
? Attend negotiations and meetings to negotiate projects or protect company’s interests with outside parties.
参与外部磋商及各项会议，参与项目谈判，保护公司利益
? Advise and support equity investment and fundraising projects as well as other key investments and business affairs in China.
为公司在中国的股权投资、投融资以及其他关键投资活动及业务提供建议与支持
? Advise on corporate governance, and responsible for preparation of shareholder/board resolutions and annual regulatory.
为公司治理提供建议，并负责准备股东会决议、董监事决议等
? Review and identify potential legal and compliance risks in the potential and propose legally sound solutions.
审核把控公司潜在的法律及合规风险，提供有效的法律解决方案
? Conduct legal research (on-line, off-line, oral inquires with authorities) in relation to a wide range of legal, regulatory and compliance issues.
对各项法律、法规及合规问题进行法律研究（通过线上、线下或在授权范围内进行口头调查）
? Liaise with outside counsel/agency.
                   负责联络外部律师及代理机构

Requirements:

? Master or above degree in Chinese laws is required, National Bar certificate is a must. Overseas background and Foreign Bar certificate, esp. US one will be highly preferred.
法律硕士及以上学历，通过国家司法考试，拥有海外背景及美国或其他国家的律师执业资格者优先
? Five to seven years of related practice experience acquired in a Chinese/International law firm with good reputation and/or legal department of an international corporation.
五至七年在中国或国际律师事务所或公司法务部门工作的相关从业经历
? Knowledge of China entertainment industry and US entertainment industry is strongly preferred.
        熟悉中、美文化娱乐产业者优先
? Self-motivated, result-oriented and hard working.

? Problem solving skills and attention to detail.

? Excellent organizational skills with the ability to handle several projects simultaneously, meet tight deadlines, and work in a fast paced environment.
