Job Summary:

The Assistant Compliance Manager is primarily responsible for administering, monitoring and executing the Company’s global compliance and ethics program at the local levels. Working under the direction of the Managing Corporate Counsel, the Assistant Compliance Manager will identify compliance risks and execute mitigation plans by understanding compliance issues and translating them into easily understood and practical advice and counsel to the business in their geographic area.

The Assistant Compliance Manager will be located in Shanghai and assist with the design, implementation and maintenance of compliance and ethical policies and procedures that are consistent, effective and efficient in identifying, preventing, and correcting non-compliance. The position will provide advice supporting key compliance initiatives, develop and deliver effective compliance training, conduct routine monitoring of controls, execute third party due diligence, and assist with internal investigations (as requested) to ensure that complaints and concerns are adequately addressed.

In addition to compliance functions, the Assistant Compliance Manager will also serve as the contact point for contract review, corporate governance, patent, employment related legal matters in relation to the Company’s China operations.

To accomplish this, the Assistant Compliance Manager must demonstrate:

- Knowledge of legal and regulatory regimes relating to anti-corruption and compliance.
- Ability to learn, understand, analyze and interpret complex laws, regulations and rules.
- Excellent interpersonal and communication skills, including clear and concise writing and presentation skills with ability to effectively convey complex subject matter in understandable and practical terms.
- Skills and ability to effectively use various tools and databases to conduct legal research and execute compliance functions.
- Detail-oriented, flexible, and can manage multiple tasks under tight deadlines.
- Ability to work independently with minimal in-person supervision.

The Assistant Compliance Manager works closely with other attorneys and compliance personnel across the Legal Department in order to provide meaningful and practical advice and recommendations to the client.

Essential Responsibilities:

Executes the global compliance program at the local or regional levels by designing, executing and overseeing the Company’s policies, procedures, training, monitoring, and enforcement in the principal areas of anti-corruption and ethics.
Administers due diligence processes including compilation of data, screening, evaluation and analysis of due diligence reports, escalation of due diligence red flags, and resolution of any necessary control measures.
Prepares and presents preventative training seminars on a variety of ethics and compliance topics to both employees and vendors.
Facilitates compliance-related self assessments and audits and identifies risks and makes recommendations on how to mitigate risks.
Maintains compliance files and documentation relating to execution of compliance policies and procedures.
Provides compliance counsel and advice on local matters and supports initiatives under the guidance of a supervising attorney. Identifies compliance issues by gathering all relevant facts to understand applicable legal requirements.
Conducts legal research, analyzes issues and monitors regulatory and enforcement developments pertaining to compliance and recommends changes to the compliance program related to policies/procedures as needed on an ongoing basis.
Drafts and coordinates the dissemination of regular compliance alerts/reminders locally to ensure that the business is aware of new rules/regulations and policies/procedures.
Provides accurate and timely counsel to the client in a variety of legal topics (contract, corporate governance, patent, employment).
