The job description for a PRC counsel should include the following things.



Working as a PRC counsel to assist the Shanghai-based Director of Legal Affairs for Asia Pacific and Shanghai-based PRC Counsel within the corporate law department of a publicly traded United States chemical manufacturing company. Among other things, tasks will include:



(a) drafting and review of contracts;



(b) preparing legal training materials;



(c) working with a more senior PRC Counsel to establish and maintain filing system for legal documents;



(d) translating legal documents into English and Mandarin;



(e) maintaining subsidiary minute books, corporate resolutions and database of subsidiary officers and directors;



(f) assisting in merger, acquisition and joint venture transactions, including the performance of due diligence and integration of acquired companies and operations;



(g) working with human resources personnel in China and other Asia Pacific offices to enhance and implement personnel policies (e.g., labor contracts, staff handbooks) in the Asia Pacific Region, including possible engagement in formal and informal resolution of employment claims;



(h) working with outside counsel on various substantive matters in China and elsewhere in the Asia Pacific Region and working with US-based counterparts in corporate and other regional headquarters;



(i) communicating with local government personnel concerning regulatory issues;



(j) establishing, implementing and maintaining legal processes in the Asia Pacific Region (e.g., administrative policies, records management and litigation holds);



(k) providing advice to employees in the Asia Pacific Region in matters relating to compliance with the company's Code of Business Conduct;



(l) functioning as a member of a US-based corporate law department.



Position Requirement:

(a)Up to five years working as a legal specialist or counsel in a multi-national company or international law firm



(b) A law degree from a Chinese university
