岗位职责：
1、负责董事会日常事务及文书的处理；
2、负责保管公司股东名册、董事会名册、大股东及董事监事和高级管理人员持有本公司股票的资料；
3、组织筹备董事会会议和股东大会，参加股东大会、董事会会议、监事会会议以及高级管理人员相关会议，负责董事会会议记录；
4、协调处理公司与股东之间的相关事务和股东接待工作；
5、协调公司与投资者之间的关系，接待投资者来访，回答投资者咨询，向投资者提供公司披露的资料；
6、负责与公司信息披露有关的保密工作，制定保密措施，促使董事、监事和其他高级管理人员在信息披露前保守秘密；
7、督促董事、监事和高级管理人员遵守法律、法规、规章、规范性文件、股票上市规则、交易所其他相关规定及公司章程，切实履行其所作出的承诺。

任职资格：
1、工商管理、财务、法律等相关专业本科以上学历，具有证交所（董事会秘书资格证书）者优先；
2、年龄25-40岁，两年以上董事会秘书工作经验；
3、有上市集团公司董秘或相关岗位经验，成功运作上市公司的筹划运作经验，上市运作流程，法律法规及相关上市审核机构办事流程，对企业股份制改造、兼并重组、实业经营及资本运作有较好的认识；
4、具备计划、组织协调和执行能力，具有较强的文字功底；
5、熟悉公司上市有关事宜，及股市证券事宜；
6、懂商务礼仪，敏锐的洞察力，较强的应变能力，沟通能力、协调力、谈判能力；
7、熟练使用办公软件。
