Scope, objective and relevance of position

The Senior Legal Counsel Securities Affairs is responsible for providing securities related legal advice to major stakeholders of the Company and its affiliated entities to safeguard the legal interest of the Company, prevent legal risk of the stakeholders, promote legal and compliant capital market practice, develop legal awareness in Volkswagen Group China (VGC), so to increase integrity of the Company as well as its affiliated entities’ roles as responsible investors and members in securities investment and to contribute to the healthy growth and development of China’s securities market.
The position holder is under supervision of and in close cooperation with VCIC’s Assistant General Counsel – the major contact person in charge of sales & marketing and mergers & acquisitions tasks assigned to the VCIC legal department. The position holder is also in close work cooperation of, contact with and support to VCIC Finance (Investment Management) to achieve the function and goal of the position as provided above.
The Senior Legal Counsel Securities Affairs is responsible for advising on securities law related topics to stakeholders of VCIC, invested listed companies, joint ventures and the joint venture projects.
Further, the Senior Legal Counsel Securities Affairs is responsible for management of material operational matters of the invested listed companies and relevant affiliated entities from a major shareholder and investor’s perspective. The position holder works with appointed directors and senior managers to the listed companies as well as VCIC Finance Department, Joint Venture Affairs Department and advises them from legal perspective. Aim of this task is to ensure implementation of the Volkswagen Group China regulations and policies (including compliance and corporate governance related policies) duly and properly in the invested listed companies as well as relevant affiliated entities.
As part of the consequence, the position holder supports BOM and BOD meetings, shareholders’ meetings, information disclosure, media coverage and report, investor relationship, related party transactions, public offering and listing, private placement, equity changes, etc. to control and mitigate the legal risk of the Company.

Key tasks and responsibilities

1. General Securities Law Consultation on transactions:

• Provide advice on securities transfer related issues from the perspective of the shareholder and investor
• Provide advice on securities offering and listing related issues from the perspective of the shareholder and investor
• Independently research and provide comprehensive analysis on securities law related issues, prepare memos and legal opinions addressing the queries and needs from the perspective of the shareholder
• Review and draft securities transaction related contracts and documents, including share transfer agreement, sponsorship and underwriting documents, etc. from legal perspective

2. General Securities Law Consultation on corporate operational matters:

• Advise on organization and management related matters regarding BOD and shareholders’ meeting from the perspective of the shareholder and investor
• Provide securities law consultations on topics for the abovementioned meetings and review and prepare meeting documents from legal perspective
• Per request of appointed directors and senior managers, provide legal advice and support them to perform their functions and roles in the listed companies
• General Securities Law Consultation on securities regulatory coordination matters:
• Advise on information disclosure affairs and support establishment and management information disclosure system as well as policies
• Advise on investor relationship management and coordinating communications between the company and the securities regulatory authority as well as other capital market members and third parties
• Independently review, advise and provide instruction on all securities related matters, safeguard compliance with minimum legal standards. Operative responsibility within VCIC legal department to coordinate/safeguard implementation of all securities related tasks assigned to VCIC legal by Volkswagen Group, instruct other departments and serve as representative towards other departments.
• Provide consultation to inspection, investigation and inquiry of the securities regulatory authority
• Independently draft and implement risk prevention policies and procedures, continuous update based on assessment of applicable laws and regulations
• Draft and implement corrective action plans
• Assign and instruct other legal staff to/on all aforementioned matters on an as needed basis and upon own discretion
  

3. Handling securities dispute, claim and litigation:

• Be responsible for external legal counsel quotation process, review the engagement letter, and follow up with the procedural matters
• Support on evidence collection process, provide legal advice on evidence collection and use, collaborate with related stakeholders on evidence collection
• Support on document preparation and offer advice and opinion from legal perspective

4. Internal investigation and audit support:

• Support from legal perspective on internal investigation and audit of the appointed senior managers and other staff to the listed companies
• Offer legal advice on personnel arrangement matters
• Coordinate on internal and external communication and report

Qualification and skills

Educational Background and Professional Experience:

• Law degree (Master or equivalent) from a reputable university in China
• 6-8 years of legal professional experience at top Chinese or international law firms, international companies, securities companies or Chinese listed companies
• PRC securities law expertise
• General familiarity with business-related laws and regulations and judicial practice

• Independent and responsible for the task and assignment
• Cooperate, interact and align with legal or non-legal colleagues to exchange information and opinion, work in team and contribute to knowledge sources
• Give securities related instructions to other legal and non-legal staff
• Actively align with other departments on management level through negotiations to ensure implementation of all securities related matters
• Establish long-term working relationships with different stakeholders to raise legal awareness in the company
• Learn with self-motivation, embrace complexity and diversity of the work environment and labor forces, adjust and adapt to the business decision and culture construction of the company

Remarks (Language, IT-Knowledge, Certificates etc.)

• Fluent English and Mandarin language skills, both oral and written
• Office software skills (Word, Excel, PowerPoint)
