The Legal Counsel will provide legal and compliance support for CCC operations in China, and will report directly to the General Manager in China as well as the US General Counsel.  This role will be located in Shanghai, China.

Responsibility:

l  Draft, review and negotiate a wide range of contracts for China business

l  Provide strategic and effective legal advice to the business in relation to the interpretation of laws of relevance to the conduct of the business

l  Support business activities and strategies and contribute to effective legally compliant plans to enable profitable growth

l  Provide general legal compliance support and guidance to the teams and develop measures to minimize compliance risks, cooperating and liaising with authorities as required. Conduct internal investigations of compliance cases and implementation of corrective measures as needed

l  Liaise with external counsels to ensure high-quality, cost-effective legal support and representation

l  Liaise with external experts/advisors to conduct/lead special projects (including tax planning, company restructuring, and IPR protection etc.)

l  Assist with mergers and acquisitions in China

l  Conduct in-house legal and compliance training (including FCPA, labor issue and etc.) for management and business teams

l  Provide timely advice to the organization in relation to the handling of legal claims and disputes

Requirements:

l  LL.M. degree from reputable China law school or US/UK law school

l  4-6 years PQE at either law firm or MNC (experience at both law firm and MNC is a plus, knowledge of FCPA/Cyber law is a plus)

l  PRC Bar is a plus

l  Excellent written and oral communication skills in Mandarin and English

l  Expertise in general business law, foreign investment law and commercial transactions (experience in M&A is a plus)

l  Strong drafting and negotiation skills

l  Excellent interpersonal, communication and partnership skills; accustomed to working with multiple functional teams such as Sales Team, P&D Team, Service Team, Finance Team, and HR Team, etc.

l  Operates with the highest level of professionalism and integrity; Able to earn the respect and trust of business leaders, P&D personnel, sales, and marketing personnel and other functional departments

l  Creative self-starter, pro-active worker; able to work independently and provide firm Legal leadership

l  Strategic thinker and problem solver with sound professional judgment

Possess strong business acumen and ability to analyze complex issues, identify all relevant considerations and develop practical solutions
