岗位职责：

1、熟悉企业（国企、民企、外企）改制、资产重组、收购兼并等重大项目的法务工作内容、相关法律条款；

2、主导主持过企业设立股份有限公司、首次公开发行股票并上市、上市公司非公开发行、发行CDR等相关项目工作开展，项目案例10个或以上；

3、对上市公司、非上市公司的公司性日常涉及法律条款熟悉，包括企业合规制度建设、法律文本规范、员工合规培训、重大合同监管、投资项目审核、突发事件处置及应对等；

4、拥有企业发行可转换债券、高息债券、公司债券、企业债、中期票据、短期融资券及私募等相关发债项目的从业经验；

5、拥有上市公司的股票首发、增发、配股、股权分置改革、员工持股平台建立的从业经验；

6、参与过企业涉外投资谈判，起草、修改和审查中英文法律文件；

7、参与过企业国内、国际仲裁、协议纠纷等项目的谈判工作。

任职要求：

1、法律专业全日制大学本科以上学历，并获得中国律师从业资格；

2、从业经验10年或以上；

3、工作地点：中国上海；

4、无任何不良从业记录，包括但不限于：被政府、行协等监管机构警告、吊销律师资格证书等；

5、善于沟通、协调多方资源，主动表达、述说项目内容；

6、第二语言：英语。
