Job Purpose:
Reporting to the Vice President Global Compliance, the successful candidate will serve as the primary compliance counsel to the Asia region, directing the implementation and oversight of the global Ethics and Compliance strategy and promoting the Company’s culture of integrity within the region. S/he will have a minimum of 10 years of legal and compliance-related work experience as part of a corporate legal department or a law firm including experience with anti-bribery/anti-corruption regulations, anti-competitive behavior, data privacy/protection, fraud-related issues, cross-border investigations and business/commercial crime.
Responsibilities:
Specific responsibilities of the Regional Compliance Counsel will include:
? Leadership for implementation of the Company’s Ethics and Compliance program and promoting the Company’s culture of integrity in Asia.
? Serving as the primary compliance counsel to the region and providing ethics, business conduct, and legal compliance training, guidance and advice within the Asia region.
? Reviewing compliance policies, guidelines, procedures and initiatives and providing guidance and recommending enhancements to controls, communication and effectiveness based on risk within the Asia region.
? Oversight and support in the implementation of compliance policies, guidelines, and procedures.
? Assist with the design and delivery of compliance-related eLearning and face-to-face training.
? Reporting on the effectiveness of the Ethics and Compliance program within the Asia region.
? Co-leading the Asia Regional Compliance Council committee.
? Partnering with the business leadership and compliance geographic program leads throughout the region to facilitate Ethics and Compliance risk awareness, monitoring of emerging regional and local risks and development of risk mitigation strategies and controls to support business initiatives.
? Identifying new developments and changes to applicable laws or regulations within the Asia region that may impact the Ethics and Compliance program and proactively communicating such developments or changes.
? Advise, and assist regional business leadership with implementation of remedial measures to address risk, control failures and compliance concerns.
? Conducting due diligence related to Compliance and Ethics; reviewing and approving all high risk customer and vendor due diligence applications for the Asia region
? Collaborating with other functions within the Asia region to leverage resources and compliance-related processes and activities.
? Promoting the use of the Company’s Ethics Helpline and analyzing Helpline statistics to identify emerging trends and areas of compliance focus within the Asia region.
? Supporting the Company’s compliance investigation process and assisting the regional compliance teams in coordinating the effective resolution of all approved remediation plans.
? Partnering with the Vice President Global Compliance and other Regional Compliance Counsels to assure consistent application and implementation of the global Ethics and Compliance program.
? Assist with identification and implementation of continuous improvement opportunities in the Ethics and Compliance program, policies and procedures.
Requirements:
This position requires an exceptionally accomplished attorney with a distinguished professional record and a strong business orientation. Personal and professional ‘fit’ within Adient’s culture is of paramount importance. Candidates must be self-motivated and exhibit a passion for understanding Adient’s business and contributing in a meaningful way to its strategy and long-term strategic goals. In addition to possessing the requisite legal and technical skills, the successful candidate must approach this role from an experienced business perspective and demonstrate a high degree of ethics and integrity, as well as strategic/conceptual thinking capabilities.
? J.D., L.L.M, or equivalent law degree from accredited school. Degree from common law jurisdiction preferred.
? Minimum of 10 years’ legal and compliance-related work experience, including experience with anti-bribery/anti-corruption regulations, anti-competitive behavior, data privacy/protection, fraud-related issues, cross-border investigations and business/commercial crime.
? Demonstrated ability to manage large, complex, international programs; to effectively communicate standards of conduct, legal principles and behavioral expectations; and to advise senior management on complex compliance related issues.
? Demonstrated ability to conduct business and compliance due diligence.
? Travel required which may include some international travel.
? Excellent oral, written and electronic communication skills. Written and spoken English skills required.
