With more than 90 professionals in our Shanghai head office and Beijing and Hong Kong branch offices, we are one of China’s premier PRC commercial legal practices, providing comprehensive legal services, for both contentious and non-contentious matters, with particular expertise in international business transactions, securities and capital markets, mergers and acquisitions, investments and corporate legal services.


Responsibilities:

• Plan debt restructurings, and draft and negotiate the relevant documents.
• Conduct legal due diligences, plan guarantee structures, draft and revise transaction and bond issuance documents, and issue the related legal opinions.
• Provide special legal services for trust companies regarding the establishment of trust products and investment funds or fund management companies, new business undertakings, corporate activities that must be reviewed and approved by regulatory authorities such as equity transfers and expansion of business scope; and advise on equity investments using own funds.
• Advise foreign-invested banks and other financial institutions on the establishment of operating agencies in China, draft the relevant documents and issue legal opinions, and advise on Renminbi business operations and the preparation of Renminbi loan documents.
• Provide legal services for domestic and foreign banks, trust companies, securities and other financial institutions, for their routine affairs and selected corporate activities.
  For management role:
• Lead client engagement teams and business development activities to sell work through the development of internal and external client relationship networks.
• Ensure additional and repeated engagements by delivering a high degree of client satisfaction during the engagement process and with the work products.
• Successfully supervise, coach and mentor all levels of staff.
• Provide engagement team leadership in fostering an open and inclusive environment and effectively lead and motivate teams with diverse skills and backgrounds.
  

Requirements:

• Master’s degree or above in law or a related field from a top Chinese or overseas university with a PRC license or equivalent qualification.
• Four to six years’ professional legal experience in financial industry or trust products is required for a senior attorney position; general corporate and M&A work experience will be a valuable addition.
• Able to work under high pressure and adapt to a dynamic working environment.
• Excellent problem solving, facilitation and interpersonal skills.
• Excellent command of spoken and written English and Chinese.
  

For management role:

• More than eight years’ experience and a deep understanding of the trust and bond market will be required for an Executive Director.
• Industry and consulting experience preferred.
• Experience in leading and managing complex business environments.
• Ability to develop approaches and synthesize information in complex integration projects.
• Excellent project management skills.
