职位描述
Position: Senior Paralegal-World Famous Manufacturing Company
Report to: CEO(Foreigner)
Location: Downtown of Shanghai
Responsibilities:
? Contract Review
Independently review, draft the contracts delegated by Legal Counsel or translation:
Strict execution and full compliance with Sales Guidelines and Global GTC of Sales & Purchase
Adapt to any updated Global sales/purchase contract related policies from time to time
Update and improve the standard contracts by assessing the risks from the past experience and in compliance with the policies
Administration of contracts/legal documentations
To assist on the China/Corporate Tender Review Process
? Compliance
To follow up the delegated Compliance Programmers in China or any required by Corporate
To observe any update of the Global Management Procedures and Global Legal Policies
To support on the update of the local legal policies when necessary
To ensure the implementation and compliance with the legal policies
To work with Compliance Officer on some tailored programmers
To assist the Compliance Committee
? Corporate Governance
To assist Legal Counsel on the Corporate Governance activities: Board Meetings, Change of BOD, and Drafting Board Resolution.
Administration of the Constitutional Documents
To support routine legal documentation for corporate governance and support corporate secretariat duties of our company
To conduct the legal research,To support Legal Counsel on some trainings
To provide other general support to China BU:
? Mergers & Acquisitions
To work closely with Legal Counsel to support the M&A project(s) in China.
To support the legal activities for the new co as defined.
Requirements:
? Degree in Law: Bachelor or above from a law school in China with good academic credentials.
? From an accredited overseas law school would be a plus
? 2 years in MNCs or law firms
? Good knowledge of fundamental subjects of law (esp. Commercial laws)
? Well versed in legal terminology and skilled in writing
? Quick learner &Team worker with strong sense of responsibility
? Able to work independently with analytical skills
