JOB PURPOSE

Cover the different areas: commercial and business law, fiscal affairs, company law, insurance law, intellectual and industrial property law, security. In this capacity:

·Permanently monitors and manages the major legal risks arising from the JV’s activities;

·Prepares and implements legal arrangements and solutions with support from shareholders legal dept or external counsel.

·Prepares, negotiates and monitors contracts and agreements;

·Ensures compatibility between the different commitments, their compliance with shareholders directives, their legal compliance with respect to applicable legislation and regulations, and their security;

·Provides clerical services to the board(s) of directors at the company(-ies) within his or her perimeter of activity.

Reports directly to CEO/DCEO.

KEY JOB FUNCTIONS

·Applies legal techniques in one of these areas:

- Support the development of the JV by coordinating legal action. He or she draws up, prepares and negotiates legal documents by researching the security, consistency and validity of legal relationships and commitments undertaken, in respect of the various constraints, particularly legal and operational constraints, to enable the business to protect its rights (preventive action and, in the event of disputes, remedial or legal action). Agreements and contracts covering fields as varied as sales, cooperative initiatives, equity holdings, acquisitions, disposals of assets, competition, etc.

- To support the optimization of the fiscal aspects of the JV’s industrial activities. He or she analyses the tax effects of investment decisions, partnerships and collaborations, determines the most appropriate solutions for the profitability of contracts and participates in their negotiation then monitoring, recommends and approves the tax implications when budgets and accounts are being drawn up and provides a contact with the authorities for tax audits, etc.

- In charge of managing and protecting against damage to people and property.

- Defines and implements the JV’s asset protection policy to protect its rights with respect to the law: obtains and defends patents, rights and trademarks, licences, services, technology transfers, etc.

- Defines the rules for the Group in this field, monitors application and checks compliance with national rules to ensure the protection of its human, technological and informational capital: information systems security, encryption, international security, etc.

·The job holder will be as close as possible to the operational people in order to help them to elaborate relevant contractual solutions and identify possible legal stakes so that risks are clearly detected, measured and mitigated.

·The job holder will ensure proper communication and process in a matrix organization where functional reporting lines will be split between various SBLs and countries. He (she) will ensure timely and comprehensive reporting to CEO/DCEO.

BASIC SKILL LEVEL REQUIREMENTS

·The job holder must be Chinese and International Law graduated and PRC Bar qualified.

·The job holder will have some professional experience as in house lawyer or contract manager providing support to business in an international environment. He (she) will have a good practice of Chinese and Anglo-Saxon law and a perfect command of both Chinese and English language (oral and written).

·The job holder shall be a fast-learner and willing to grow up.

·The job holder shall be a team player and work under pressure.
