Responsibilities:

You will be a member of TSMC’s China Legal Division, and will provide general day-to-day legal support to the operations of TSMC Nanjing.  In addition, you will be working closely with the Director of TSMC’s China Legal Division and other TSMC Legal colleagues around the world, to develop and execute legal strategies.  Your responsibilities include:

• Draft and review various technology transaction and commercial agreements.  Negotiate terms and conditions to safeguard TSMC’s rights, while taking into account company’s long term business goals.
• Advise internal clients and ensure best practices in diverse legal areas such as labor law, compliance, export control, antitrust, and intellectual property.  Manage and mitigate legal risks by designing and implementing policies and procedures.
• Assist in preparing standard templates for recurring transactions and to address new issues in the law and/or new areas of businesses for the company.
• Ensure internal clients in compliance with TSMC’s legal processes, and help them address legal issues early as they arise in the course of daily operations and commercial transactions.
• Supervise outside counsel to ensure they deliver high quality work product in a cost effective manner.

Requirements:

Ideal candidate should have strong communication skills and a proactive mindset to not only help internal clients identify legal issues but also provide solutions.  This job also requires strong organizational skills and attention to detail, the ability to prioritize multiple projects that have competing deadlines, while delivering high quality work product.  The candidate should have:

• A law degree in China and have passed the Chinese bar exam;
• Minimum of 7-10 years of legal experience with an emphasis on drafting and negotiating contracts (some in-house experience is preferred);
• Experience in handling issues in complex legal areas such as export control, antitrust, compliance, trade secret, and/or labor law;
• Fluency in spoken and written English, with strong presentation skills;
• Ability to work both independently and as a team player;  
• Experience working with technology companies.
