Role Purpose
- This role reports to Legal/Commercial Solution Lead and the CFO/VP Finance & Operations, providing various supports as stated below.
- Ideal candidate must have 1) strong business ethic and integrity, 2) excellent English skill (speaking, writing, and reading), 3) excellent law knowledge, 4) great patience and pay attention to details, and 5) excellent communication ability.
- This role will work with the service lines, Legal and Finance groups before submitting contracts to clients, and work with clients and internal teams to complete the contract negotiation throughout the signing process. Candidate with prior legal intern experience is a plus: drafted/reviewed Master Service Agreements (MSAs), Statements of Work (SOWs), Change Orders, third party agreements, Non-Disclosure Agreements (NDAs), subcontract agreements or any other contract vehicles that may come up in day-to-day business.

Key Responsibilities
- Provide general administrative support to sales team: Contract drafting, contract review and preparation of subcontract documents.
- Contract Development and Authoring: Apply best practices to develop contract vehicles (Statements of Work, Change Orders, Letters of Intent) for consulting and technology services related to marketing efforts for clients from standard Merkle and client templates using basic deal scope information, schedule and pricing data as a basis. Identify risk and mitigation strategies, and works as a business partner with all levels of the business to provide responsive, clear, actionable advice. Advise internal staff on preferred contract and pricing structure on a wide variety of types of service engagements in the marketing domain include strategy consulting, media buys, marketing campaigns, marketing database builds, marketing analytics, SEO, SEM, advertising, and web development.
- Contract processing and Tracking: Follow process controls to verify all contract documents are fully vetted internally before presenting to clients. Manage reviews and analysis of client edits to contracts. Evaluate, develop and process contract version updates, track contract completion progress and manages contract approval status in Salesforce, follow up correspondence with clients and Merke team members. Responsible for timely processing of projects and contract activities. Maintain a centralized repository of legal documents.
- Negotiations: Represent Merkle business on negotiating team in Client contract negotiations. Provide redlines on all standard and nonstandard contracts initiated by the client or business team, negotiate directly with customer attorneys or purchasing staff if required.
- Other areas of responsibility: Special projects include historical research, trending analysis, participate in determining objectives of special projects as assigned by management. Research contractual and legal questions and issues; clearly communicate findings and identify risks associated with mitigation options. Participate in RFP proposal preparation when required. Assist with other areas of the Merkle G&A, including various process improvement initiatives. Provide a high-quality service level to all internal and external clients ensuring accuracy, efficiency, and follow-up. Interface with all levels of executive leadership and management as well as customers, in a fast paced, demanding environment. Work with minimal direction - plans, schedules, and arranges own activities in accomplishing objectives and work assignments. Provide some influence on the overall objectives and long-range goals of the group in regard to document standards and template language. Provide reads and interpretations of contract language as needed after signing.
- Interface wih internal and external parties on a day-to-day basis regarding contract-related matters (including its billing). Provide supporting document to finance for billing and revenue recognition: Billing invoices to Clients and getting Client to pay on time.
- Participate in weekly and monthly finance reporting.
Key Skills and Experience
- B.S. (junior or senior year) or M.S. candidate in Law, Economics, Business, or related fields.
- Good Communication skill in both Chinese and English. With strong interpersonal skills and positive team player.
- Ability to translate complex concepts into simple terms.
- Excellent grammar, spelling and business / technical writing skills
- Ability to translate complex legal terminology/concept into simple terms to other management and delivery personnel (legal and non-legal professionals).
- Ability to multi-task and manage multiple simultaneous projects requiring frequent communication and prioritization.
- Strong analytical skills including the ability to synthesize, distill and draw conclusions from data.
- Very detail oriented in the area of business terms, pricing, legal protections, and related terms, and love the nuances of legal documents.
- Willingness and Experience enforcing business controls as a “gatekeeper”.
- Ability to multi-task and manage multiple simultaneous projects requiring frequent communication and prioritization.
- Ability to work under pressure, meet deadlines and thrive in a fast-paced work environment.
- Ability to prioritize workload and know when to ask help from other operations team members as needed.
- Strong negotiator with experience in setting negotiation objectives and tactics, and planning for and conducting negotiations.
- Excellent in office software (Excel, PPT, etc.) Advanced expertise in MSWord – including PDF to Word conversions, document template development, outlining.
- Presents self in positive and professional manner.
- Ability to analyze customer requirements in context of the business environment and recognize legal implications.
- Strong ethics, integrity and values.
- Demonstrated experience communicating with all levels of management, cross functional teams and customers.
- Extremely customer-focused with strong influencing and interpersonal skills.
- Ability to be discrete and maintain confidentiality with respect to agreement contents and other highly sensitive business matters and projects required.
