Legal Counsel

Job Description

Business lawyer for Xian Janssen Pharmaceuticals (XJP) based in Beijing, China

Specific focus is on legal support for research & development activities in the company

Key Accountabilities

Provide legal counsel, guidance and support to the XJP business units and functions as directed by the supervisor or lead lawyer for XJP in order to support legal and compliant business activities including the following:

Proficient at negotiation and drafting of various contracts including clinical trials, consulting, non-disclosure, significant supply, distribution, wholesaler, co-marketing, sales, product licensing, employment, and other agreements.

Be able to proactively assess legal risks to the business and devise and implement policies and procedures to address and manage those risks including preventative actions, trainings and communications.

Provide guidance on and ensure compliance with relevant laws and regulations applicable to the businesses of XJP, including relevant industry codes.

Support new business development initiatives (M&A and licensing transactions) including due diligence reviews, negotiation of transaction and drafting/execution of deal documentation.

Engage and manage outside counsel including providing appropriate budgets for outside counsel and ground rules for the business on when and how to request outside legal services/support.

Manage all litigation, dispute resolution, and any internal and external investigations related to the business.

Proactively partner and work with other Johnson & Johnson lawyers in the region and globally to drive local alignment with regional and global best practices and legal knowledge sharing.

Others activities as directed by supervisor or lead lawyer of XJP

? Expertise in agreements and documentation for clinical trials including international multi-centre trials
? Expertise in subject safety and compensation negotiations in clinical trials
? Advise business on its copy clearance materials and internet-related activities
? Perform corporate governance functions for the legal entity including fulfilling all applicable reporting requirements relating to board and shareholders meetings (to the extent required under the laws of China).

Candidate Profile

Key Qualifications:

? Juris Doctorate, LLB or equivalent law degree from a good law school in China and a graduate degree from an internationally recognized university outside of China.
? License to practice law in China and another jurisdiction preferred.
? Fluent in written and spoken English and native fluency in written and spoken Mandarin.
? At least 3 years of relevant legal experience since qualification – ideally trained by a multinational law firm headquartered overseas.
? Experience working in; or at with multinational corporations, ideally in the life science industry.
? Broad-based commercial and corporate experience in both developed and developing markets.
? Experience doing transactional or cross-border licensing and acquisitions and divestitures.
