Title :Legal Counsel, China,
Location: GUANGZHOU
Report to: Legal Counsel,Asia Legal Counsel
Position Description
1)This position will be responsible for providing both day-to-day and strategic legal support to China market to ensure the continued and sustainable growth of well-established and growth-orientated China businesses, in the context of a regulated, high-profile, sensitive and competitive industry.
2)It will be an important addition to the small but highly dedicated Legal function in China and will work with all levels of management with VP, Director level functional leaders and mangers
3)The position will provide legal support over a wide range of legal and commercial areas including product manufacturing and distribution, vendor and other commercial contracts, corporate structure and secretarial management/support, labour, advertising and promotion, property and plant development, compliance with the US Foreign Corrupt Practices Act and industry-specific laws and relevant company policies and procedural documents.
4)It will include support to Compliance in establishing, maintaining and monitoring corporate policies in these areas.
5)The position need to assist the Senior Legal counsel to manage litigation cases, and the outside counsel as well. He or she may need to manage some intellectual property enforcement actions in conjunction with the corporate IP Counsel and external counsel. The role will be a key additional support to the core business Management teams that oversee successful and growth-orientated nutrition businesses in the second largest market for the company, with some exposure to the Regional and global management team. .
6)ongoing responsibilities include structuring, reviewing, drafting and advising on significant agreements, advising marketing and sales administration on activities relating to healthcare providers (including doctors and hospitals) and the trade, providing legal advice and support with respect to compliance program management, identifying, anticipating and mitigating legal risks in China; managing dispute resolution, and identifying, developing and managing external counsel to ensure timely, cost-efficient expert advice to the business.
Position Requirements:
1)Preferred candidate will have a law degree from an accredited law school and passed the bar /is qualified to practice law in China.
2)The candidate will have a minimum of 6 years post-qualification experience. In-house experience with a company in the healthcare, food or FMCG industries is preferred, but candidates from law firms who have strong experience, commercial acumen and a desire to move closer to business management solution-providing and decision-making are very welcome to apply, especially if they have been closely supporting such companies. Confidence, integrity and the ability to communicate effectively across cultures are essential.
3)Experience in dealing with different levels of management personnel from a wide array of functions within a multi-national corporate environment – either directly as in-house or as client relationships for external counsel - is an important “plus”.
4)Experience in identifying and advising Management (clients) on the issues facing a NYSE-listed multi-national company that operates a business that includes interactions with various governmental agencies including AIC and FDA in China, consistently with the laws, policies and procedures applicable to such a US-based company, will be significantly advantageous.
5)Accordingly candidates must have excellent interpersonal skills, be articulate and concise in both oral and written Chinese communication, with the confidence and ability to work independently and as part of a team.
6)The successful candidate will have good judgment and commercial acumen, the sense to involve others who may possess the needed expertise to address issues as required, together with high level of integrity and confidence in expressing themselves, while maintaining a pragmatic, solutions-orientated, “we will find a way” attitude.
Summary of Must-Haves
?Minimum 6 years PQE with law degree and license to practice
?Fluent written and spoken Chinese, good English.
?Personal confidence and ability to assert self diplomatically and constructively with an interest in the business and its objectives
?Already or ability to be located in Guangzhou and ability to undertake some travel

?Experience working in or acting for one or more of FMCG, Food, Healthcare and/ or Pharmaceutical industries
?Able to perform presentations and trainings on legal-related subjects to non-lawyers in an “accessible” way
