Gap Inc. is seeking an Associate Legal Counsel to join its Global Legal Department and Shanghai-based legal team to support the company’s growing business in Greater China (including mainland of China, Hong Kong and Taiwan).This position primarily supports commercial contracts, property management, retail lease supplementary agreements, and other allocated legal areas to support business priorities.

Major Responsibilities may include:

• Provide effective and efficient support to the Greater China store growth and property management,such as drafting, reviewing and negotiating lease amendments, renewals, storage and billboard agreements etc.

• Manage the China lease profiling and pipeline system, including validating and maintaining the quality of the lease profiles and database. Coordinate with Global Legal Department in San Francisco when needed.

• Prepare, review and negotiate straight forward commercial contracts in relation to the company's daily commercial operation.  Provide supporting more complex commercial projects and contract negotiations to support business priorities and expansion in the market.

• Coordinate with Global Legal Department in San Francisco and external counsels to handle intellectual-property related legal matters, such as trade mark infringement, counterfeit sand unauthorized product sale etc.

• Other responsibilities as determined by line manager and VP Deputy General Counsel, which may include conducting legal research, supporting translation of commercial contracts another legal documents.

Minimum Qualifications are:

1) Education and licensing:

• Law degree from a reputable university in China.
• Nationwide Lawyer Qualification Certificate (passed China Bar).

2) Experience:

• 3-5 years of law firm and/or corporate legal department experience.
• Experience in retail,real estate, commercial law or corporate law.
• Experience with western companies/culture preferred.

3) Knowledge, skills, and abilities:

• Bilingual (fluent) in verbal and written English and Mandarin.
• Strong bilingual speaking, writing, and negotiating skills.
• Strong interpersonal and team building skills.
• Practical and flexible.
• Strong learning agility and a self-starter.
• Ability to handle matters independently or with limited supervision.
• Ability to work cross-functionally in a matrix-ed structure.
• Ability to prioritize and appropriately manage risk in a corporate legal environment.
• Ability and desire to work in a fast-paced and challenging environment, prioritizing and juggling multiple matters.

4) Other requirements:

• Travel as needed within China and to the United States.

Preference given to candidates with:

• Experience at an international law firm or a major PRC law firm;
• Experience working within a North American or European culture; or
• Education in a North American or European country.
