职位描述
Responsibilities:
. Draft and timely provide all the necessary legal documents according to the requirement and timeline of Compliance team regarding setting up of new WFOE/stores, change of business scope and registered address, change of legal representative, change of leading officer, etc.
2. Co-operate with Compliance team closely to follow up the process of applications to authorities in national wide and help them to solve problems arose during the application process;
3. Communicate with business units to understand the business and needs of business units thoroughly and timely provide all the necessary legal documents regarding POA, dividend distribution, credit line, entrustment loan, letter of credit, etc. according to the requirement and timeline of business units;
4. Draft and timely provide all the necessary legal documents regarding store closure/deregistration according to the requirement and timeline of store closure team/deregistration team and follow up on the status and provide corporate support.
5. Provide timely, accurate, reliable and effective corporate support to the whole legal team and other business units;
6. Handle company secretarial work of offshore companies (BVI, Hong Kong and Singapore) in-house to meet the requirement and deadline of local company registries; Co-operate with outside agents and law firm to prepare legal documents regarding change of directors, dividend distribution, contribution of registered capital, inter-group loan, annual general meeting, annual return, etc. in a timely manner and manage outside agents and law firms on relevant filing work with local company registries.
7. Maintain valid and updated POAs from legal representatives for all necessary functions and timely proactively secure updated POAs as and when needed (e.g. upon change of legal representative or attorney).
8. Maintain consolidated AOAs of entities under management for easy reference of rights and obligations stipulated in the AOAs.
9. Own the Knowledge Database of the Corporate and M&A team, mature, update and regularly maintain the database to reduce legal spending and improve operating efficiency by (i) contributing and uploading corporate (onshore and offshore) precedents and work products; (ii) working with other team members to collate their input of precedents and work products of their areas of practice.
Skill Set:
1. Familiar with the Company Law of PRC, the Law of the PRC on Chinese-Foreign Equity Joint Ventures and the Law of PRC on Foreign-funded Enterprises; Have good knowledge of other related laws and regulations;
2. Solid experience on company secretarial work and governance of corporate structure;
3. Proactive, efficient, driven and detail oriented ;
4. Good communication skills;
5. Good Chinese and English writing skills;
6. Ability and willingness to broaden practice of area through working across different functions as well as with various legal subdivisions with a collaborative approach to achieve work objectives.
