Job Title: Corporate Secretary and Senior Legal Assistant
Location: Shanghai
Principal Accountabilities
1. Communicate - Correspond and communicate primarily with law department colleagues, and with clients, other functions, outside counsel, and third parties at the request of lawyers.
2. Handle commercial transactions, HR matters and/or regulatory matters.
Transactions - Assist lawyers and clients to execute commercial transactions. Responsibilities include drafting and translating legal documents, such as: a wide variety of commercial contracts, sale & purchase agreements and ancillary real estate documents, leases, confidentiality agreements, storage and handling agreements, and other appropriate materials. Complete other steps necessary to conclude transactions.
HR matters - Assist Cargill attorneys and outside counsel to assess cases, investigate and determine facts, coordinate discovery, monitor case progress, and direct cases to closure.
Regulatory matters - Coordinate routine regulatory matters, such as business registrations and renewals, routine permit/license application and renewal, periodic filings with local agencies, and receiving of junior visitors from government.
3. Investigate - Conduct factual research and investigation and obtain background information. Prepare accurate and useful reports.
Standardize Procedures- Assist lawyers in drafting standard contracts, closing transactions, responding to government inquiries, handling small claims and litigation, and tracking matters and trends.
Legal Research - Select and analyze information from primary and secondary legal materials, case files and other sources; assist lawyers in conducting trademark and patent searches.
4. Maintaining and updating the information in GEMS for the China-based legal entities. Liaising with representatives of such legal entities to ensure that the information in GEMS is accurate. Preparing corporate resolutions and filings required by local governments. In conjunction with lawyers and business units, assist in the formation of legal entities, drafting or amending articles of incorporation.
Records management - Provide RIM guidance to China law team to ensure compliance with corporate policies and legal requirements in effectively managing the lifecycle of records. Execute daily records and information management tasks in accordance with the RIM processes and procedures. Monitors and updates records profile information in RIM database.
5. Administrative Tasks:
Manage emails; maintain calendar
Maintenance and coordination of shared files (electronic and hard copy)
Proactively address day to day requirements
Coordinate all aspects of travel arrangements
Handle/screen phone calls
Organize and expedite flow of work through office and initiate follow-up action to ensure that deadlines are met.
Utilize Expense Express to prepare expense reports
Arrange meetings and prepare presentation materials
Understand team priorities by attending regular key meetings
Education/Experience/Skills
1. Four-year college degree.
2. Undergraduate major in Law or undertaking and completion of a law education program by a qualified law school
3. At least two years legal assistant experience in a law firm or corporate legal department.
4. Demonstrated skills in editing complex legal documents with a high degree of accuracy under tight deadlines.
5. Ability to prepare first drafts of letters, emails and other correspondence with minimal supervision.
6. Ability to set and meet deadlines and act independently to improve processes and procedures.
7. Very strong interpersonal skills and ability to work with and adjust to a variety of people; highly collaborative.
8. Strong multi-tasking skills and attention to detail.
9. Excellent organizational, planning and problem-solving skills.
10. Willingness to take on and complete independent projects with minimal supervision.
11. Professional, positive and collegial demeanor. High level of discretion.
12. Exceptional computer skills in Microsoft Office environment.
