Primary Duties & Responsibilities:

- Draft and review simple contracts, contract amendments and similar documents under the supervision of Legal Director.

- Assist Legal Director and Contract Managers on providing guidance to internal clients on use of contract templates.

- Prepare legal documents associated with APAC legal entity corporate operations, including but not limited to Articles of Association, business licenses, board resolutions and meeting minutes, governmental approvals, and other similar documents, under the supervision of Legal Director.

- Maintenance of the statutory and legal records of APAC legal entities, including maintenance of GEMS data and core documents, and liaison with company secretarial firms on the same as necessary.

- Prepare and process ongoing administrative and licensing applications and other

required approvals for APAC legal entities as required by the laws and regulation in the region or by relevant government authorities, including liaison with governmental agencies as requested Legal Director.

- Prepare translations of contracts, memos, letters, company policies or other documents as assigned by Legal Director.

- Conduct legal research and provide periodic legal updates to internal clients and other Law Department personnel.

- Prepare legal presentations, training materials, documents, reports (including legal fees accrual reports) and correspondence in a timely and accurate manner as requested by Legal Director.

- Work with external law firms and internal accounting department on processing of legal fees payment in accordance with local law requirements and Law Department electronic billing system and related internal procedures.

- Work with Human Resources Department on PRC HR issues including labor disputes, employee handbooks and proper employment documentation.

- Assist Legal Director in communicating with internal clients and coordinating with other departments for legal issues and for compliance matters as assigned by Legal Director.

- Provide paralegal assistance in connection with M&A activities, as requested by Legal Director or other Law Department attorneys.
