Title:Legal Counsel
Business Unit:China IM and PM&C

Reporting to (Title):Managing Director, China (with functional reporting to General Counsel, Asia)


1. The Role:
POSITION PURPOSE


To advice, manage and oversee all legal matters relating to the operations of the China Business.To ensure compliance with the regional legal policies and procedures and adherence to PRC laws .


KEY ACCOUNTABILITIES


· Overall reponsibility for all legal matters relating to the China Business.

· To instruct and manage external counsels when engaged and to internally manage any litigation or potential litigation appropriately.

· To provide corporate secretarial support across all the legal entities in China and North Asia.

· To provide practical legal solutions to facilitate conduct of the China Business.

· Review, draft and negotiate bespoke contracts (English and Chinese bilingual versions) which shall include development, project management and construction contracts, procurement contracts,leases, financing and loan documentation.

· Develop and conduct legal training on legal topics which are beneficial or would impact the China Business on a regular basis.

· Develop and keep uptodate standard Lend Lease contract templates (english and chinese bilingual versions) for ease of contracting.

· Keep the China Business abreast of any legal changes to the laws which would or may have an impact on the China Business.

External· Local government bodies -such as the relevant Construction Bureaus, Land Administration Bureaus, Real Estate Administration Bureaus, MFCOM
· Fund Company Secretary and Administrator; and
· External Legal Counsels.



2. The Person:
DESIRED CAPABILITIES & BEHAVIOURS

· Have worked on large cross border complex business deals in the area of development of real estate, project financing, project management and construction, fund and asset management.

· Possess good commercial acumen, and able to provide in depth analysis of legal issues which impacts the business in a clear and concise manner .

· May have project management responsibilities.

· A strong understanding and proven track-record of implementation of legislative requirements in China

· Must be a strong communicator (both written and verbal).

· Ability to work independently and under pressure.

· Fluency in both English and Mandarin (written and spoken) is a requirement.

EDUCATION & EXPERIENCE

· A PRC qualified lawyer with post qualification experience of at least six years doing large cross border M&A transactions in PRC relating to the area of real estate development (preferrably commerical ) either in a top tier 1 PRC law firm, foreign law firm in PRC or an MNC with real estate business and operations in PRC.

· Good interpersonal, problem solving, technical and analytical skills.
