Qualification

- Law degree from a reputable university; passed bar exam.

- 6+ years of firm and/or in-house experience; in-house experience with a multinational company, ideally with significant Chinese operations

- LLM from a U.S. law school in addition to a Chinese law degree is a plus

- Superior client service skills; ability to set priorities with business units and complete tasks within established guidelines

- Ability to prioritize, organize and work efficiently in a high-volume, results-oriented environment

- Strong experience in negotiating complex contracts; Superior oral and written communication skills; Fluency in Mandarin and English is essential.

- Understood ISO 9001/14001 /ISO13485/MDSAP/ 21 CFR 820/ SOR98/282-2015 management system and medical device sale quality management system, be familiar with ISO22716 cosmetic GMP management system.

Responsibilities:

- Contract Management
- Review, revise and approve all sorts of commercial agreements, including purchase agreement, distribution agreement, annual target incentive agreement, sales agreement, supports agreements for terminals, supplementary agreements, labor agreements and etc.
- Develop and improve contract template according to business demands.
- Maintain contract database and produce contract and distribution reports to the management on monthly basis.
- Ensure the agreements properly filed at Legal Department.

- General Corporate
- Maintain the legal entities in China, including company set up, corporate affairs amendment (change of business scope, legal representative, registered address, registered capital etc.), company liquidation and de-registration.
- Maintain all licenses of the legal entities, including but not limited to business license, food operation license, liquor permit etc.

- Regulatory Matter and Compliance
- Produce legal newsletter/email to the management to keep them informed of the latest laws and regulations that concern the business.
- Prepare compliance training materials and deliver training sessions to all staff.
- Ensure the day-to-day operation and business practice are complaint with the laws and regulations.
- Related compliance areas include advertisement compliance, product labelling, etc.

- Dispute Resolution
- Advise on contractual dispute with distributors/suppliers/partners, labor dispute with employees.
- Advise on governmental institution’s investigations.
- Advise on consumer compliant and report.

- Ongoing legal consultation
- Provide ongoing legal advice to all functions, including logistics, finance, HR, marketing, sales and the management team.
- Ad hoc project support assigned by factory.

- Be responsible for ISO9001/14001 /ISO13485/MDSAP/ 21 CFR 820/ SOR98/282-2015/ ISO22716 management system related activities.
