Key Responsibilities 主要职责:
- Manage the contract and commercial management activities 合同及商务管理相关工作
Primary Activities主要活动:
- Assistance and support business and sales in project-related commercial & contractual issues 协助并支持项目相关业务和销售方面的商务和合同事宜
- Support Contract & Commercial Documents drafting and Contract Negotiation: manage negotiations of contract commercial part if needed and arrange for appropriate wording, follow upon risk management协助撰写合同和商务文件以及合同谈判:根据需要参与合同商务谈判,起草合同适当措辞和风险管理跟踪
- Develop contract & relevant commercial document templates, check-lists and other tools编制合同和相关商务文件的模板,检查表和其他工具
- Support Contract Execution / Claim Management: hand-over to project implementation and available for support legal and commercial related issue during project implementation and guidance of claim mgt if any支持合同执行,索赔管理:合同移交至项目执行方,协助和指导合同执行过程中的法律商务相关事宜和索赔管理(如有)
- Support the Proposal Strategy and create a framework for Business: like NDAs, agent agreements, consortium or other partnering 支持战略性报价建议,创建业务框架协议,比如保密协议、代理协议、合伙或者其他的合作协议
- Implementation of commercial relevant aspects in Proposal: text and cost related input on relevant commercial aspects ; coordinate and overall guidance on tax, finance and IPR related aspects就商务相关方面提出建议:关于商务方面合同文本以及成本组成相关信息的输入;协调税务相关的指导和财务以及知识产权相关方面
- Risk Management / PRIMA: support risk management, and guidance风险控制:协助风险管理和指导风险控制
- Support Supply and Procurement: support development of project specific contract conditions and their negotiation 支持供应链和采购:协助制定和项目相关的具体合同条款约定以及谈判
- Legal issue suggestion & follow up法律事宜的建议和跟踪
Competencies and Skills 胜任资格和技能:
- Commercial Management or Legal related major 商务管理或法律相关专业
- At least 5 years working experience in commercial and contract management in heavy industry至少5年以上在重工行业的商务和合同管理经验
- Good at commercial negotiation, can be flexible and support to reach an agreement in different negotiation circumstance 擅长商务谈判,在不同的商务谈判环境下能灵活变通,促成合作
- Solid commercial and legal knowledge and practical experience扎实的商务及法律知识以及扎实的实战经验
- Good command in English 流畅的英语能力(听说读写)
- Flexible to travel according to the company practice and business needs 能根据公司惯例和业务需求灵活出差
