职位描述：
MAJOR DUTIES AND RESPONSIBILITIES

Legal counseling to assigned business group and staff functions of 3M China & HK. Participation in legal or corporate projects.

Advice and Counsel. Identifies and quantifies legal risks on operational matters, creating options or alternatives to appropriately balance risk and business objectives.

Leads development and implementation of legal or business processes or policies cross-business/functionally.

Provides training on a range of matters relative to general legal counseling including company policies, antitrust, privacy, trade compliance or regulatory matters, channel management, supplier management, litigation handling, product sales and marketing, etc.

Participates in decisions relating to strategic matters, consistent with the business group’s or function’s strategic plan.

Transaction Services. Leads transactional projects and counsels clients, including distributorships, buy/sell agreements, consulting agreements, licenses, promotional programs, joint development agreements, R&D agreements, etc. Assists with and may independently conduct due diligence for business development projects.

Prepares contracts and negotiates business transactions. Manages agreement/transaction approval process for assigned areas of responsibility. Participates in determining negotiating strategy.

Dispute Management. Independently assesses and manages disputes of low to moderate significance. Manages outside counsel’s advice and handling of the dispute resolution. Provides recommendations for formulation of litigation strategy for matters of normal significance. Develops an understanding of the applicable law and recommends courses of action.

QUALIFICATIONS AND CAPABILITIES

？ Legal qualification -- PRC bar or HK bar required. Overseas legal education preferred but not required. Legal practicing experience of 6+ years.

？ Good communication skills in both Chinese and English.

？ Personalities of strong sense of accountability, passion, team work and integrity.
