Job Title: Legal Counsel 法律顾问

Location: Beijing 北京

Key Responsibilities

1. Draft, review and negotiate various types of commercial contracts with both Chinese oil companies and international companies in both Chinese and English.

2. Assist Senior Legal Counsel to initiate and implement procedures, guidelines and templates.

3. Support HR to address and resolve on-going employment/labor law matters.

4. Provide general support on compliance issues, including:

· Undertaking preliminary due diligence review on proposed agents and distributors;

· Assistance in providing training to relevant employees, distributors and agents on FCPA, other applicable anti-bribery laws, code of conduct, etc.

5. Collaborates with Senior Legal Counsel in litigation, disputes and potential claims management (i.e. follow up, updates, coordinate with outside counsel, etc).

6. Conduct legal research on various topics as needed by operations.

7. Act as the focal point to support manufacturing and global sourcing entities and independently provide legal support on all routine corporate legal matters arising from and related to manufacturing and global sourcing activities.

8. Provide legal trainings to business units, sales and marketing team and procurement functions.

9. Support on M&A, joint venture and organization restructuring projects.

10. Work on other legal matters as assigned by Senior Legal Counsel.

Requirements:

Bachelor or/and Mater degrees in law, PRC Bar qualification. A minimum of 7 years solid legal experience in corporate laws, commercial contracts, FDI, M&A, etc., gained from law firms and in-house legal practice. Experience in employment/labor law is preferred. Experience and understanding of oil and gas industry is desirable but not essential. Effectiveness in dealing with issues arising from and operating in complex organizational and regulatory environments Ability to effectively interact with a diverse group of individuals in addressing complex issues Ability to write and communicate in English, Mandarin Should be a willing team player who is analytical and conscientious, with a keen eye for detail Ability to balance workload and prioritize work deliverables and resources Good interpersonal and communication (both verbal and written) and presentation skills Proficient in Microsoft Office - Word, Excel, PowerPoint, Outlook, etc.
