Working Relationships:

--Internal – Business unit heads, Client Service staff, Operations staff, HR/Admin staff, other Contract Management staff, Greater China Finance Controllers and Finance Business Partners as well as Regional executives and staff

--External – client contacts including procurement, legal and client service staff as well as other third parties

Job Description:

Working with key internal and external stakeholders:

--Ensuring Kantar’s contracts and related business documents comply with both internal WPP and Kantar policies and processes, and applicable laws and regulations, and in line with WPP and Kantar financial goals.

--Drafting and vetting agreements arising from or in connection with Kantar companies operations to control and minimize the business & legal risks, including but not limited to:

i. Client Master Service Agreements (MSA’s)/Contracts, related supplementary agreements and Purchase Orders

ii. Non-Disclosure/ Confidentiality Agreements, Business Codes of Conduct and other documents provided by Clients

iii. Agency Contracts provided by Client Service, Operations or Project Management

iv. Lease Agreements, Consultancy Agreements, Construction Contracts, Labor Contracts etc. provided by Admin, PM and HR

--Participating in negotiations with Clients, Vendors etc in relation to the above matters. Regular engagement with legal and procurement departments of major clients or those with regular issues or causing delays in contract signing.

--Drafting of various documents required by Client Service relating to government authority issues, including Undertakings, Company Statement, Explanation Letters and similar.

--Active engagement with Client Service, both in relation to contractual matters and to empower more effective and efficient ways of working through education, sitting into business development discussions and tactical persuasion. Hence moving work upstream and encouraging using of Kantar contracts, improving the use of local MSA’s and Regional/Global MSA’s for better time management.

--Understanding the business/products of various Kantar brands and their financial goals in order to provide commercially sound legal advices.

--Escalating to the regional level for kind advice and supports for any contracts and other legal issues in connection with Global Client and WPP mandatory Policy which local legal entities are not authorized to deviate from the global direction.

--Engagement with counterparts in other Kantar units and colleagues in other Kantar OpCos across APAC to ensure other precedents are leveraged where the client is a global /regional client.

--Providing supports for any existing or potential litigations, disputes with clients, including but not limited to preparing legal documents, providing consultation and negotiating with client directly for payment overdue.

--Supporting other matters as required including (but not exhaustively) assisting with:

Sealing/Stamping of Contracts, Proposals, Client Confirmation Letters and other documents .

--Providing support for notarization service, translation service per to the requests of CS etc.


Job Requirements:

--Bachelor Degree, Law related major.

--At least 5 year’s work experience in either a law firm or in-house contract management type role

--Solid understanding of contractual matters and the negotiating positions that both clients and suppliers take

--Strong ability to review contracts efficiently, understand issues arising, priority of these and compromise positions

--Experience with negotiating contracts from both a legal and commercial perspective

--Fluent in written and spoken English and Mandarin

--Team player

--Strong business acumen

--Strong negotiator and communicator

--Strong people management skills and comfortable with interacting with internal and external stakeholders at all levels including senior management.

--Ability to perform under pressure

--Confident, initiative and be brave to undertake responsibilities

--Proficient in office software
