Main Functions and Responsibilities
? Assisting legal counsel in providing legal advice to Merck Chemicals China and its business units on daily operation, including:
- Reviewing, drafting and negotiating commercial contracts with small values and other legal documents on daily operation;
- Providing short legal trainings, e.g. compliance training for new employees;
- Updating Board of Directors member lists and shareholder structure of Merck Chemicals China, and updating Merck Mandate system;
- Conducting legal research;
- Assisting legal counsel in drafting samples and standard contracts
? Assisting legal counsel in advising and negotiating China investment projects, including:
- M&A activities, including assisting legal counsel in conducting legal due diligence and negotiating and drafting contracts;
- Assisting legal counsel in integration issues;
- Assisting legal counsel in handling WFOE establishment or restructuring
? Providing monthly/quarterly work reports and new law updates which may have significant impact on Merck Chemicals China
? Providing administrative support to legal counsel, including:
- Business license renewal/update;
- Contract management;
- Company legal documents management;
- Preparing reports and presentation slides and other materials for legal counsel


Qualification:
? Bachelor/Master degree in Chinese law and overseas legal study is a preferable qualification;
? 2 - 3 years working experience with law firms and/or multinational companies’ legal department;
? Excellent English and Chinese in writing and speaking;
? Pleasant and highly responsible work attitude;
? Strong communication skills and conflicting-handling skills
