Role Summary/Purpose

primarily responsible for structuring and negotiating highly structured commercial contracts with GE Healthcare key strategic and corporate account customers. These multi-million dollar transactions typically include a wide range of GEHC equipment, software and service product offerings and may include offerings from other GE business units. Essential Responsibilities

Key responsibilities/essential functions include: ensure that corporate policies and directives are fulfilled in GEHC China; ensure that legal requirements for GEHC China’s operations are fulfilled and that risks and exposures are avoided or at least minimized under certain circumstances; handle legal matters with such competence and in such manners that the commercial objectives are fulfilled in each case and unmotivated losses and risks are avoided; protect GEHC’s investments in China (including wholly owned companies, joint ventures, IPRs, corporate images, etc.); ensure that PRC legislations which may affect GEHC’s operations in China are made known within the organization and that necessary adaptations with reference thereto are made within GEHC China; and work with Compliance team in GEHC China and Corporate on compliance training, internal investigations and process development Work with the business team as a business partner to identify opportunities to drive business forward, e.g. working with business development in structuring, negotiating and closing of complex acquisitions/ to develop legal processes / templates for new business and commercial models. Drafting, reviewing and negotiating strategic business agreements and transactions Advising the business on regulatory, privacy, antitrust and advertising/promotional matters Providing regulatory and compliance advice- in conjunction with the Regulatory and Compliance specialist areas in GE Healthcare. Managing outside counsel, when brought in to assist • Managing/ supporting the management of disputes and litigation Applying combined business and legal judgment to proposed deals, relationships and other issues requiring legal or compliance attention. AUTHORITY The Legal/Compliance Counsel shall independently and with integrity handle the matters mentioned herein except for matters of policy character and/or of major importance for GEHC China, which shall be supervised by or handled in coordination with General Counsel or other senior members of the team as assigned by the General Counsel. MAIN TASKS Provide general legal support for development of GEHC’s business in China, including for example contract review and drafting, participating in negotiations, interpreting existing contracts and relevant PRC legislations, and performing translation when needed; Provide legal advice to resolve commercial disputes, including for example through negotiations, arbitration or litigation. Coordinate relevant legal activities; Provide legal advice on acquisitions and other important financing and commercial transactions in China; As part of the extended management team in China, assist in the development of overall strategies and processes for the business; Work closely with compliance teams. Drive and participate in compliance processes, trainings and investigations; Work with other GE affiliates in Asia, the US and Europe to address policy and other commercial issues relating to China; Identify emerging regulatory and policy issues and make appropriate recommendations with reference thereto. Support efforts to comment on draft regulations and other government initiatives; Establish and maintain good communication channels with relevant governmental authorities.

Qualifications/Requirements

Identify and report any quality or compliance concerns and take immediate corrective action as requiredRequired Qualifications: (outline the minimum requirements) Bachelor of Law degree from a PRC university and at least 4 years post graduation experience in a law-firm or in-house position in China; Native in Chinese and good in both oral and written English; Desire to learn and grow professionally in a challenging and complex business environment;Ability to function as a proactive partner for teams from different departments within the company;Ability to work independently as the sole lawyer staffed to a matter.Integrity,strong sense of integrity and belief in integrity as a core value in business;Flexibility, sense of humor and the willingness to train and encourage others;Certain familiarity with dispute resolution and medical industry a plus;JD or LLM degree from an overseas law school a plus;International experience and cultural awareness a plus.JD (or equivalent) with active bar membership. In the region of 8- 10 (more if the role is broader in scope) years of business law experience at a large law firm or corporate legal department, including previous experience of drafting, negotiating and closing complex business transactions (i.e. purchase, sale and distribution agreements).Previous experience in identifying and resolving legal issues quickly and effectively and ability to make on the spot risk calls.Previous experience prioritizing conflicting demands from multiple business clients in an extremely fast paced environment.
