Job Overview

JPMorgan Chase Bank (China) Company Limited (the “Bank”) is seeking to hire a Contract Negotiation Specialist to provide contract negotiation and administration support to the Bank’s treasury services business in China. The position is based in Shanghai.

Reporting Line

The position reports to the Head of Treasury and Securities Services Legal in China, with matrixed reporting to the APAC TS Legal.

Responsibilities

The Contract Negotiation Specialist will be responsible for negotiation and administration of client contracts within the selected product families in China.

In particular, primary support will include:

1. Interpret client needs and documentation requirements from information provided by internal business partners.

2. Negotiate with clients as well as internal partners in order to ensure agreement on feasibility of product delivery by all functions of the business prior to entering into a contractual commitment with a client.

3. Prepare customized contracts and/or related amendments that accurately reflect the deal mandated but minimize the risk to the business through strict adherence to policies, procedures, and regulatory requirements.

4. Obtain and track internal contract and documentation exception approvals.

5. Analyze existing legal documents for conformance to the Bank's policies and procedures and regulatory requirements.

6. Prepare execution copies of agreements, obtain signatures from client and internal management and perform signature validation.

7. Provide tracking on status of contracts by maintaining up-to-date pending reports.

8. Check that all condition precedents have been met before closing a transaction.

9. Provide advice and training to other team members and business partners on documentation related matters.

10. Contribute to the development and maintenance of negotiation guidelines, training materials and procedures.

Qualifications

1. Preferably a holder of a degree in PRC law .

2. Strong technical aptitude and legal skills .

3. Working experience in a reputable PRC or international law firm as a qualified lawyer or paralegal would be an advantage .

4. Experience as a contract specialist and/or in drafting, negotiating and customizing transactions with large multi-product client base an advantage .

5. Familiarity with the details of cash management, liquidity, escrow products, and implementations processes .

6. Experience in handling and reviewing legal documentation.

7. Knowledge of corporate documentation, legal terminology and legal procedures .

8. Proven ability to independently identify issues, analyze problems and provide viable solutions .

9. Excellent written, verbal and interpersonal and organizational skills; effective engagement of and communication with internal business partners .

10. Risk awareness, skills to mitigate such risk and ability to escalate where appropriate .

11. Ability to work under pressure, handle deadlines and manage multiple tasks .

12. Ability to follow up on assignments in a timely manner, exercise good judgment and work accurately under pressure .

13. Ability to work independently and in a team environment .

14. Cross-functional experience navigating across a matrixed organization an advantage .

15. Complete fluency in English and Mandarin required .
