Role Purpose
This role is responsible for leading key people actions needed to integrate acquired businesses and managing/coordinating HR M&A related integration activities and processes across different functions.
Key Accountabilities
- Conduct human resources due diligence on target companies and report findings and recommendations to management, to include liabilities, risks, retention issues, and integration challenges.
- Develop retention plans for retention of critical and key employees in target companies.
- Identify critical employees in target companies; create and negotiate individual employment agreements with each.
- Develop transition strategies for key human resources processes, such as compensation and benefits, payroll, HRIS, training, and employee communications.
- Participate in planning new company employee communication tools.
- Lead human resources integration activities and leverage support from HR share service functions through integration planning process and execution of initial phase of integration.
- Manage the transition and hand-off of new companies to the mainstream human resources organization.
- Direct both internal and external human resources personnel throughout the acquisition process on integration related issues.
- Provide ongoing change management, e.g., management ability to deal with people issues, training, motivation, systems integration, job security/career concerns, realistic merger preview, and ethics & compliance standards, etc.
Personal Specification
- Bachelor’s degree in Human Resources, Business Administration, Industrial Relations, Industrial/Organizational Psychology or related; Master’s degree preferred
- At least 8 years of progressively more responsible generalist human resources experience; experience in execution of M&A integration is a strong plus
- A strong working knowledge of all major human resources areas, to include executive compensation, variable compensation, equity management, employee benefits, and human resources strategy and planning
- Impeccable judgment and professional standards, having irreproachable reputation for trustworthiness and integrity
- Proficient in issue identification and resolution, effective at developing and implementing innovative solutions
- Strong ability to work under the pressures of time constraints and conflicting priorities and agendas
- Outstanding communication, coaching, and interpersonal skills with the ability to work effectively with a variety of personalities, egos, and cultures
- Process and detail oriented, having strong organizational, project management and change management capabilities
- Familiar with local labor laws and government requirements
