职位描述

Job Summary

Review, draft, and negotiate a large number of complex client transactions within a corporate environment. Manage and advise senior company leadership on legal risks associated with transactions. Manage and advise junior legal and commercial professionals in day-to-day business.

Key Responsibilities
Manage both in-house and outside legal resources
Oversee, counsel, guide, train and support transactional and junior transactional attorneys
Stay abreast of legal developments affecting the company, its clients, and industries and synthesize the information to incorporate it into company's transactional practices
Educate senior company executives in regard to legal and risk management issues
Represent company's interests and interface directly with client counsel and negotiating teams
Strategize with senior company executives prior to client negotiations
Structure client transactions to be most advantageous from a legal and business perspective
Counsel, advise, and consult senior company executives based on accurate interpretation of contract documents and the facts of a business opportunity
Develop internal guidelines, toolkits, and packaged knowledge on various legal and business issues
Support, promote, and implement initiatives as part of Legal & Commercial executive team

Qualifications

Education
JD or LLM

Work Experience
Minimum of 10 years of transactional experience in roles with increasing responsibility, such experience should be in a law firm and a fast-paced corporate/legal transaction group for a multinational company
Proven ability to efficiently manage a large volume of transactions

Knowledge and Skill Requirements
Independently manage drafting transactional documents and correspondence
Understand basic principles of Finance, Accounting, Marketing, and Management
General understanding and appreciation of Intellectual Property issues as they apply to commercial IT transactions
Able to present innovative, original solutions
Responsive and follows through on commitments
Strong time management, prioritization, and organizational skills
Ability to influence, strong executive presence
Excellent oral and written communication skills
