职位描述
Job Title: Contract Specialist
Reporting to: Commercial Management
Location: Based in Beijing
The Contract Specialist, being the focal point for all contractual issues, must have the ability to establish and negotiate the contractual agreements of the company as well as developing innovative contracting approaches and processes to achieve positive outcome.
Responsibilities:
1. Draft, review and amend law abiding Contracts and Agreements; Letters of Intent, Partnership, Joint Ventures, Marketing, Procurement, Lease, Board of Directors’ Resolution & modifications
2. Ensure that all contracting activities are drafted and carried out in accordance with applicable Chinese legislation & company policy with regard to terms and conditions, rights and obligations, problems and solutions, liabilities and indemnities, liquidated damages, claims & litigation, dispute settlements, etc.
3. Lead complex contractual negotiations; active involvement in negotiating and managing procurement, marketing and other contracting arrangements during commercial discussion; evaluating and clarifying goals and needs of all interested parties
4. Facilitate re-negotiation of existing contracts and amendments to reach resolutions and agreements with customers, suppliers, etc.
5. Ensure Procurement Contract coherency with terms and conditions of relevant Marketing Contracts for each Project related Contract
6. Active involvement; provide expert advice, guidance and counsel to Company and colleagues in all legal matters; ensuring compliance with applicable law, while safeguarding the best interests of the company
7. Define, maintain and improve the bid process of the Company.
8. Active role in development of risk and policy documentation
9. Investigate all technical changes and subsequent contractual disputes
10. Dynamic follow-up of new legislation, government policy, best practice; advise on their application to the company’s business
11. Update and maintain a full and compliant corporate and contractual documentation for the company, including board and shareholders’ meeting minutes
12. Train colleagues involved with contracts terms and conditions; others in marketing and projects as well as procurement as well as sensitize all other employees to render solid contract arrangements
13. Guide Company Contract Strategy; contributing to the business development of the company
14. Identify areas for improvement of company’s contracting processes and advise on implications of contracts on the legal principles
15. Deal professionally with issues regarding Intellectual Property, Patents, Drawings, Designs, Copyright, Know-how, Trademarks, discipline and infringement procedures
16. Liaison with customers & suppliers, internal, external institutions and bureaus, international Paul Wurth entities, on commercial & contractual aspects
17. Monitor contract budgets & forecasts
18. Support Commercial Management
Competences:
1. Build and maintain excellent relationships with colleagues and customer
2. Ability to overview situations, understand and interpret legal terms and conditions review and evaluate, defining set plans to achieve business goals
3. Problem solving at a strategic level, working with others to reach a resolution
4. Careful planning to achieve accurate and timely results
5. Understanding financial/accounting environment; balance sheet, profit & loss account, management accounts
6. Strong capability to understand and interpret legal terms and conditions
7. Convincing evidence of successful contractual performance
Qualifications:
1. University Graduate (LLM, LLB of international economic law, engineering law or international trade)
2. 5+ years in contractual issues, preferably with WOFE or Sino-Foreign JV
3. Experience in metallurgical industry is an advantage (Iron & Steel or Non-Ferrous), or basic knowledge about mechanical industry / other industries
4. Studies abroad is an advantage
