LCA China commercial team has an immediate opening for an experienced transactional lawyer with a strong desire to apply his/her skills to the fast growing and challenging Microsoft China sales & marketing business in China.
Microsoft China is Microsoft Corporation wholly owned subsidiary in China. It has been 18 years since Microsoft had its presence in China in 1992. And now there are more than 3000 regular employees working in 21 offices in China.
This position will be based in Shanghai, China.
Primary Responsibilities:
1. Providing timely, practical, business-oriented legal advice, and developing creative solutions to complex business and intellectual property issues in licensing, marketing and distribution of Microsoft products and services.
2. Supporting retail business team on the planning, development, structuring and execution of retail business in China; advising on commercial and real estate matters as well as regulatory issues relating to import, storage and distribution of consumers’ goods, online and physical stores and after-sale services etc.
3. Supporting cloud business team in launch and development of cloud services in China; training, supporting and assisting team in legal document preparation and negotiation for cloud deals.
4. Preparing, revising, reviewing, and negotiating various legal agreements in coordination with business contacts in China and colleagues in the USA and around the world.
5. Providing local law advice to Redmond attorneys and global WSG attorneys.
6. Advising business contacts on compliance with Microsoft legal policies and procedures and providing local support to legal training to business group members on a variety of legal issues.
7. Managing and coordinating with outside counsel to meet the transactional needs of the business.
Candidates should have the following qualifications:
- J.D. or equivalent degree and excellent academic credentials.
- 5-8 years’ relevant in-house transactional experience or as a practicing attorney with a top law firm advising multinational clients in this field.
- Solid experience in intellectual property and retail business required; experience in cloud computing services a plus.

- A positive-minded, versatile and creative team player with good interpersonal skills.
- Detail- and results-oriented, with outstanding organizational and analytical skills.
