Key objectives
Resposible for preparation, negotiation and maintenance of external funding documentation in a foreign owned financial institution engaging in consumer finance business across China.
Duties and responsibilities
1. Giving legal advice to all involved departments of the company and other group companies in China on funding-related matters
2. Drafting and making comments to bank loan contracts, trust contracts, receivables transfer contracts, entrust contracts etc. both within China and with overseas lenders
3. Preparing memoranda on legal topics for company and group management
4. Negotiation of funding contracts in English and Chinese with funding partners – banks, trusts, asset management companies, factoring companies etc.
5. Responsible for monitoring funding related regulations and legislation development
6. Communication with external law firms, management of external legal counsel on funding deals
7. Reporting in English and Chinese to local management and group management in Europe
8. Exploring and implementing alternative funding channels such as securitization, bond issuance, funding through partnerships etc.
9. Ongoing support to funding team for maintenance of existing funding arrangements, ensuring that all borrower’s obligations and other conditions under funding documentation are fulfilled and maintained.
Requirements
Education/Experience
1. University Law education – Master Degree in Chinese law
2. Knowledge and experience in commercial, banking, consumer and administrative law and corporate law of China, good understanding of foreign exchange regulation, experience with LMA/APLMA documentation standards, knowledge of banking and financial institution regulations, experience with loan security – guarantees, asset pledge/transfer, receivables pledge and registration etc.
3. In total at least 10 years of post qualification working experience out of which at least 6 years working experience with legal aspects of funding – preferably previous experience in an international law firm or local law firm serving English speaking clients or experience with work for US/EU invested borrower companies in China or previous employment in the HQ of Chinese or international bank or trust.
4. Preferably experience with work in multinational teams and reporting directly to a non-Chinese superior.
5. Experience with other lending business (credit card loans, consumer loans), insurance and guarantee business is preferable.
Required skills
1. Ability to actively participate in and lead legal negotiations in Chinese and English, draft bilingual contracts and memoranda
2. Work independently, able to supervise and guide junior lawyers and external legal counsel
3. Excellent English speaker and writer, excellent grammar and vocabulary needed, capable of reviewing bilingual documents and check for discrepancies (English x Chinese), oral English (including good understanding of spoken English) is crucial for proper performance of job
4. Capable of understanding and dealing with structured and complicated tasks and complex and innovative legal matters, pays great attention to detail in documentation, good user of MS Word, PowerPoint, Excell
5. Willing to travel across China.
6. World-class level of international law-firm / international bank legal skills expected
