We have an exciting opening for an attorney to provide front-line legal support for Microsoft Asia-Pacific R&D Group (“ARD”) headquartered in China. ARD (http://www.microsoft.com/china/ard/default.aspx>) is Microsoft’s largest R&D center outside the US, and it has over 2000 full-time R&D staff in three major campuses in Beijing, Shanghai, and Shenzhen, and it is rapidly expanding. ARD develops products and services that are used in China and throughout the world, such as Windows, Office, various server products, cloud computing services such as Windows Azure and Office 365, Bing, Windows Phone, Xbox game console and Kinect. ARD also has R&D presence in Japan, Korea, Taiwan, and Thailand. One of the top computer science research institutes in the world, Microsoft Research Asia, is also part of ARD, which has over 200 senior researchers conducting world class research in computing science and other areas.
This attorney will be part of Microsoft China’s Legal and Regulatory Affairs department. In addition, the attorney will also be part of the ARD legal support team, reporting to the General Manager and General Counsel of ARD legal. The attorney will have frequent contact with all levels of ARD managers and employees.
This position will be based in Zhongguancun (中关村), Beijing,China.
Responsibilities will include:
1. Providing timely, practical, business-oriented legal advice, and developing creative solutions to complex business and intellectual property issues in all aspects of the ARD’s R&D activities,
2. Counsel clients on specific intellectual property related issues, such as relating to the use of Open Source software, trademark and clearance issues, copyright issues, intellectual property rights relating to joint development or partnership with another company.
3. Working with the R&D team to conduct legal review of products to be released.
4. Work on employment related legal issues.
5. Prepare licenses for products to be releases, including End User License Agreement, Term of Use, and Privacy Statement. Also draft joint development agreements, partnership agreements, and memorandum of understanding.
6. Coordinating between business contacts and legal specialists within LCA on issues such as antitrust, regulatory compliance, copyright, trade secrets, trademarks, patents, privacy and advertising.
7. Advising business contacts on compliance with Microsoft legal policies and procedures and providing local support to legal training to business group members on a variety of legal issues.
8. Conduct legal training to ARD employees, particularly in areas such as intellectual property and working with other companies and their products and technologies.
9. Managing and coordinating with outside counsel to meet the transactional needs of the business.


We are looking for an attorney with:
1. J.D. or equivalent degree or law degree in China and passed Chinese bar exam and excellent academic credentials.
2. At least six years’ relevant in-house transactional experience or as a practicing attorney with a top law firm advising multinational clients in this field.
3. Experience with intellectual property, competition law issues and negotiating complex IP and technology agreements

3. Executive level briefing and training experience, and the ability to focus on customers and business simplicity, is necessary.

5. Superior problem solving and negotiation skills, as well as excellent written and verbal communication skills in English.
6. A strong ability to work independently and efficiently, and to prioritize workflow, meet challenging deadlines, and manage complex projects in a demanding fast-paced environment.
7. The ability to work effectively with a diverse group of people with different professional backgrounds, and with the ability to lead and motivate others and to facilitate problem solving.
