Responsibilities
Overall responsibility is to ensure the effective operation of Intertek Consumer Goods’ ethics and compliance programs. The General Counselor’s general duties and responsibilities encompass developing and implementing systems, processes and policies designed to ensure compliance with the International Federation of Inspection Agencies (IFIA) requirements. Among the specific responsibilities and activities of the BSCO are the following:
1. Be the first point of contact and interface on all legal, risk and compliance matter for the senior management of the region and other key management in connection with this business
2. Be responsible for all legal, risk and compliance matters relating to the region, allocation of all matters requiring legal advice, including major transactions and projects, selection and appointment of external legal counsel, resourcing and structuring the team to allocate work in the most effective and efficient manner
3. Overseeing and monitoring the implementation of the Intertek compliance programs regarding Code of Ethics, Zero Tolerance and Integrity, Anti-bribery.
4. Reporting on a regular basis to [Chief Executive of Consumer Goods] and the Group Head of Legal on the progress of implementation and assisting these components in establishing methods to improve the efficiency and quality of services and to reduce the vulnerability to fraud, abuse and waste;
5. Maintaining the risk register that provides management with an overview of the key business and other risks facing the division, including:
a. An assessment of risks to the division,
b. Current internal controls and other activity in managing those risks,
c. Current actions/status reports.
6. Ensuring that all claims made against the division are appropriately reported, defended and settled in consultation with the Divisional Management and Group Compliance Team as necessary.
7. Periodically revising the program in light of changes in the organization’s needs and in the law and policies and procedures of Government plans;
8. Developing, coordinating and participating in an educational and training program that focuses on the elements of the compliance program and seeks to ensure that all appropriate employees and management are knowledgeable of, and comply with the requirements and standards;
9. Leading, planning and organizing monitoring activities, including annual or periodic audit on various compliance aspects and reviews of effectiveness of compliance control procedures.
10. Independently investigating and acting on matters related to compliance, including the flexibility to design and coordinate internal investigations (e.g., responding to reports of problems or suspected violations) and any resulting corrective action with all departments, customers, vendors and suppliers, agents and, if appropriate, independent contractors;
11. Developing policies and programs that encourage managers and employees to report suspected fraud and other improprieties without fear of retaliation;
