职责描述：

协助尽职调查团队完成工作

参与买方和卖方的尽职调查分析，以找出影响买卖价格的关键财务和运营问题

分析和综合目标公司的数据，以识别历史和预计的财务和经营趋势，收益质量和营运资金对价，以及可能影响目标公司估值和谈判的潜在负债和风险

针对关键问题量身定制和设计交易咨询报告，例如盈利质量分析与调整，估值模型假设，管理层预算的可实现性，债务考虑因素，借款基础计算和/或业务合并以及分立财务报表

甄别卖方或买方财报计量错误、编制审计调整，必要时进行模拟合并

协助房地产客户进行并购前财务尽职调查，并建立财务模型

Job Duties：

Assist and support the due diligence team

Participate in both buy-side and sell-side due diligence analysis to identify key financial and operational issues which impacted purchase/selling price

Analyse and synthesized target company data to identify historical and projected financial and operating trends, quality of earnings and working capital considerations, and potential liabilities and risks which impact valuation and negotiation with the target company

Tailor and design transaction advisory reports specific to key issues such as normalized earnings, valuation model input assumptions, achievability of management's budget, indebtedness considerations, borrowing base calculations, and/or business combinations and carve-out financial statements

Find out accounting errors in the Target’s financial reports through interviews and documents review, propose related adjustments. Prepare proforma consolidated report when necessary

Assist in engagements from real estate clients on pre M&A financial due diligence and develop financial modelling

任职要求：

学士学历或以上

中国注册会计师协会合格会员或同等学历

至少3年四大审计、财务顾问或交易顾问经验

良好的中英文读写能力（包括流利普通话）

经验较浅的候选人可被聘为高级研究员

需要在大中华地区出差

Job Requirements：

Bachelor or above

Qualified member of CICPA or equivalent

At least 3 years of experience gained from Big 4 Assurance, Financial advisory or Deal advisory

Good command of both written and spoken English and Chinese (including fluency of Putonghua);

Candidate with less experience can be considered as Senior Associate

Occasional travel within Greater China is required
