Position Summary:
1. Entegris is seeking a full time Senior Counsel to join the BOLT (Business │ Opportunity │ Law │ Technology) team in Asia. We are looking for innovative and strategic thinkers to join our growing BOLT team.
2. This opportunity will be based in Shanghai, China or Hsinchu, Taiwan.

Responsibilities and Duties:
1. Business, compliance and legal affairs partner to Entegris’ APAC Region, focusing on China and Taiwan, primarily through direct provision of services and coordination with other lawyers and professionals in BOLT;
2. Interpret, communicate to and monitor compliance with corporate and BOLT policies by the APAC business organizations, particularly China and Taiwan;
3. Initiate, lead and manage internal investigation and compliance matters;
4. Manage litigation and employment/ HR claims;
5. Liaise with local government agencies and offices in China and Taiwan;
6. Counsel, review, draft and negotiate commercial and distributor contracts required by the Asia business organizations, focusing on China and Taiwan;
7. Coordinate corporate law matters for Entegris subsidiaries located in China and Taiwan, including drafting of corporate documents and coordinating the drafting of more complex corporate documents;
8. Provide legal representation to the APAC Business organizations for transactions related to their business, focusing on China and Taiwan;
9. Proven track record of managing wide legal agenda and complex litigation and responding to regulatory investigations;
10. Interpret, communicate, monitor and investigate compliance with the Entegris Code of Business Ethics and the Corporate Compliance Policy, conduct or coordinate investigations into alleged wrongdoing, as requested by the General Counsel;
11. Periodically conduct in person compliance training throughout APAC and in Chinese language, when applicable, focusing on compliance with the Entegris Code of Business Ethics and with legal requirements;
12. Collaborate effectively with international colleagues both in APAC and global team to provide aligned advice that appropriately balances China and Taiwan and global perspectives and needs;
13. Routinely update and advise the General Counsel on legal matters arising throughout Asia, particularly China and Taiwan;
14. Manage due diligence and provide support for acquisitions in APAC, particularly China and Taiwan;
15. Manage legal matters related to corporate initiatives throughout APAC, particularly China and Taiwan;
16. Provide support for IP and technology portfolio in China and Taiwan, in coordination with Chief IP Counsel;
17. Undertake other tasks as may be requested by the Senior Vice President & General Counsel;

Qualifications:
1. Demonstrated experience as a practicing attorney with an international law firm or a global business enterprise with corporate, cross-border commercial transactions, including dealing with distributors within Asia Pacific and employment disputes;
2. Qualified lawyer in China or Taiwan (min 5 years PQE) with compliance experience gained in leading law firm and/or relevant in house experiences (preferably in semiconductor sector) or the government;
3. Familiarity with trade regulation and international tax principles a plus;
4. Compliance, litigation, government affair and/or employment experience a plus;
5. Fluent/ native bilingual speaking, writing and legal drafting skills in English and Chinese; Korean or Japanese language ability is a plus;
6. Seasoned lawyer with strong legal analytical skills and practical business orientation; in-house experience with large international corporations is a plus;
7. Licensed to practice law in China is a plus;
8. Possesses high level of integrity, honesty and respect for the rule of law;
