M&A Manager

Report to: General Manager China
Job Description:
1. To lead the development of a mergers & acquisition project;
2. To design/assist to the transaction structure(financing & investing) in accordance with local laws, compliance requirements and the market practice;
3. To coordinate with all stakeholders to ensure the progress of implementation of a deal;
4. Internal reporting/coordination with various functional departments (incl. legal, financing, auditing)
5. Lead the mergers & acquisition project till the transaction complete.
Requirement:
1. More than 10-years’ experience in equity investment (primary market);
2. Experience in leading outbound investments in domestic companies;
3. More than 5-years’ experience as mid-level manager (with affiliates)
4. Experience in working in a multi-culture environment. Fluent in English and Mandarin is a must;
5. Experience as a Securities Affairs Representative (证券事务代表) or Secretary of the Board(董事会秘书) is a plus;
6. Experience in Mining, Energy, Infrastructure, Oil & Gas etc. is preferable;
7. Having Certificate of the Legal Profession Qualifications (“法律职业资格证书”) and/or CFA, CPA is a plus;

工作职责：
1. 领导并购项目的开发；
2. 根据当地法律法规、合规要求和本土市场经验，设计或者协助设计交易结构（融资和投资）；
3. 与各合作方进行协调，以保证交易流程的顺利实施；
4. 与各个职能部门（包括法务、财务、审计部门）进行内部汇报/协调；
5. 主导并购交易直至交割完成；
任职要求：
1. 在股权投资领域（一级市场）有超过10年的工作经验；
2. 具有在中国公司领导执行海外投资、并购项目的经验；
3. 具有5年以上的中层经理任职经验（有下属）；
4. 具有在跨文化环境中的工作经验；普通话和英语熟练，英语可作为工作语言；
5. 具备在上市公司任董事会秘书及证券事务代表等职务的经验优先考虑；
6. 具有在采矿、能源、基础设施、石油和天然气领域的工作经验将优先考虑；
