岗位简介：
Accountability to GC Business Unit (including China Farming) and Fonterra Group as a whole
The legal team is a centre of excellence function providing GC and entire Fonterra Group with access to the best legal counsel and legal services.
1、In this role, the Corporate Counsel GC will work independently as the corporate counsel for 2-3 designated GC Business Units and in charge of all legal matters of designated GC Business Units (including relevant supporting functions like procurements, employment, finance, disputes and etc). However flexibility will be required so that the role may cover any area of the Fonterra Group as needed or considered to be appropriate by Senior Corporate Counsel GC.
2、Regular reports to Senior Corporate Counsel GC on the designed GC Business Units
3、The role requires flexibility in managing and providing legal advice in different areas of law across different jurisdictions and Fonterra Business Units.

Legal Counsel - GC
1、Understand the GC Business Unit and the legal environment in which it operates.
2、Develop trusted advisor relationships with managers of the designated Business Units..
3、Advise the business on a broad range of legal matters, including agreements, transactions, regulations, claims and litigation.
4、Prepare and improve contract templates for Business Units on a regular basis
5、Lead governance and legal risk advice to the designated GC Business Units
6、Provide support to ensure compliance with Fonterra policies and provide appropriate training on relevant legal matters and procedures in China.
7、Be responsible for the maintenance of company records for Chinese subsidiaries, including drafting of resolutions, organizing and preparing materials for annual general meetings, organizing minutes of joint venture meetings, coordinating approvals and signatures and drafting of powers of attorney.
8、Be responsible for recording and updating of company secretarial files of all of legal entities in China, including co-ordinating and liaising with others in the global company secretarial team.
9、Manage relationships with key external counsel and legal advice ensuring appropriate management of legal issues and close management of costs.
10、Manage dispute / litigation strategies, ensuring business units, operating companies, and corporate centre functions retain accountability for the dispute/ litigation outcomes.
11、Other legal work assigned by Senior Corporate Counsel GC
Fonterra Legal Team
1、Work as a key integrated member of the Fonterra Group Legal Department and China Commercial Department, and take instructions from the General Counsel or Senior Corporate Counsel
2、Report on key legal issues to ensure Fonterra meets continuous disclosure requirements
3、Provide input on technical legal issues as required.
4、Contribute to the development and delivery of a best practice strategic legal business model.
5、Provide compliance programmes, and training and education on legal issues.
6、Contribute to internal Legal education and development.
7、Provide input into reviewing legal services, staffing levels and resourcing.


Reporting - Ensure regular reporting as required by the Senior Corporate Counsel GC, including on all material legal matters and legal risks in the GC Business Unit, instructions to external law firms and costs.
任职要求：
1、A bachelor’s law degree or a higher law degree with specialization in commercial
or corporate law;
2、PRC Legal Qualification
3、4-6 years’ experience in reputable domestic law firms or as in house counsel experience in a large organisation. Experience in law firms preferred.
4、？Excellent understanding of Chinese laws, especially corporate and business laws
？ Solid legal experience in general corporate and commercial matters;
？ Strong influencing capability, high energy and should take initiative;
？ Be able to prioritize work, work independently and be well organized;
？ Fluency in English language reading and writing skills.
5、Food industry knowledge / experience（Preferred）:
- An understanding of the operational issues and legal risks affecting major businesses from supply chain factory issues through to customer, consumer and food quality issues.
- An understanding of the risks associated with a global food industry business – product liability, consumer claims, product recalls.
