职位描述

1、协助健全董事会，为董事会提供法律咨询；
2、按照法定程序筹备董事会会议及由董事会组织的其他会议，负责起草董事会的报
告、决议、纪要、通知等文件；
3、参与公司并购、重组、上市规划和投资兼并等重大法律事务的谈判与办理；
4、熟悉公司治理及信息披露要求，关联交易，对外担保、重大交易及股权管理等,同时为公司重大决策提供咨询和建议
5、参与上市公司投融资项目相关法律业务、资本市场相关法律业务、公司信息披露相关法律业务、上市公司对内或对外的法律尽职
调查。

职位要求

1、国际经济法、国际商法本科及以上学位；在英语国家获得法律相关专业本科以上学历者优先；
2、通过律师资格考试或者司法考试，获得律师资格或者法律证书3、熟悉在美上市公司法务相关工作，具有较强的商务谈判能力
3、 8年及以上相关工作经验，其中至少2年董事会工作经验；
4、有跨国公司法务工作背景优先；可将英文作为工作语言；
5、为人正直，具有极强的沟通协调能力及亲和力，能够承受工作压力。
6、对外沟通情商高、商务谈判能力强、有一定的人脉关系资源。
Job Description

1、Assist to improve the Board, provide legal advisory for the Board of Directors;
2、Prepare the Board meeting and other meetings organized by the Board In accordance with legal procedure, responsible for drafting the Board report sue, resolutions, minutes, notices and other documents；
3、Participate in the negotiations and handling of the major legal affairs for Company mergers and acquisitions, restructuring, market planning, investment and mergers;
4、Familiar with the corporate governance and disclosure requirements, related party transactions, external guarantees, significant transactions and equity management, at the same time provide advices and recommendations for the major decisions of company;
5、Research Listed company investment project related legal businesses, capital market related legal businesses, listed company’s information disclosure related legal business, internal or external legal of listed companies due diligence.

Position requirements

1、Bachelor degree of the international economic law, international commercial law；Obtained Bachelor of law degree In English - speaking countries preferred；
2、Pass the bar or judicial examination, get lawyers or legal certificates;
3、Familiar with forensic work of listed companies in the United States, with strong negotiation skills;
4、8 years and above relevant working experience, with at least 2 years experience in the work of the Board；
5、TNCs forensic work background preferred; English as a working language；
6、Integrity, strong communication, coordination ability ,affinity, Pressure - resistant ability.
7、Have a high EQ for External communication;strong negotiation skills; some contacts resources.
