Summary Statement of the Job:
？ Provide legal guidance to senior management for business development and protection of the company’s interests.
？ Provide updates to management on the changing regulatory and legal environment.
？ Strive to ensure full legal compliance in all aspects of the company operations in adherence to Chinese and American law and the Company’s Code of Business Conduct.
？ Negotiate and settle relevant disputes on the company’s behalf.
？ Interact with outside counsels, arbitration committees, advisors and consultants as needed.
？ Manage contract management processes.
？ Coordinate with senior counsel and/or outside counsel as required on legal issues.
？ Prepare and translate legal documents and contracts.

Detailed Responsibilities of the Job:

？ Provide high level legal advice and legal review for business development and expansion. There will be a strong focus on the growth of the healthcare service business and support for special projects.
？ Provide internal support to the business units on legal issues related to their daily operations.
？ Analyze company processes and make recommendations on how to reduce risk, increase compliance, maximize efficiency, and support the objectives of the business units.
？ Manage trademark, patent and other intellectual property rights infringement issues.
？ Take the lead in managing strategy to deal with investigations by various government organs, for example, quality control problems; customer, user or patient investigation issues that involve or reflect on the company’s reputation or ability to conduct business)
？ Coordinate with HR and management on labor case strategy both before and after formal cases arise. Represent the company and/or interface with outside legal counsel as needed to settle such claims.
？ Review claims made against the company and interface with outside counsel in the event of a formal legal claim.
？ Contract Management: Establish, manage and improve contract management processes. Review and advise on contracts, agreements, documents for sales, marketing, and general administration (e.g., agency and distribution agreements, leasing agreements, government or other agency requested official "confirmations", with particular attention paid to non-routine documents.
？ Advise on legal recourse for outstanding accounts receivables issues with customers.
？ Ensure compliance with Chinese law as well as the Chindex Code of Business conduct on legal matters, contracts and agreements, environmental issues, labor law, tax law, etc.
？ Stay up to date on relevant regulatory and legal environment laws and requirements. Provide updates to management as needed.
？ Prepare and translate legal documents and contracts as needed.

Note: this position shall report to the General Legal Counsel of UFH. There is significant interface with and reporting responsibilities to other executives and managers within the organization including Chindex Medical Limited and United Family Hospitals and Clinics.

Qualifications:
？ Advanced degree in law (business law preferred)
？ Written, listening, and spoken fluency in Mandarin and English
？ Minimum of 5 years working experience in the legal field (law firm preferred).
？ Thorough understanding of contract management practices.
