The Nature Conservancy - Senior Attorney of Asia Paciffic (Location: Beijing)
SUMMARY
Provides legal consultation and advisory work on complex legal matters and projects in the Asia Pacific Region with a focus on China.
ESSENTIAL FUNCTIONS
Provides legal services on complex matters for assigned programs. Ensures that transactions and activities are legally sound and consistent with the Conservancy’s mission, authority, policies, and procedures. Clearly articulates complex legal concepts and options to assigned programs. Reviews organizational documents, and prepares, reviews and negotiates contracts. Ensures that transactions are legally sound and consistent with the Conservancy’s mission, authority, policies and procedures, and that conservation project information and documentation is reported and filed accurately. Structures and negotiates complex agreements involving multiple parties. Works with program staff to ensure that operations and implementation of programs are within the parameters of the Conservancy’s policies and procedures and the laws of the appropriate jurisdictions.
RESPONSIBILITIES & SCOPE
? Assists in structuring activities to most effectively achieve Conservancy goals.
? Reviews organizational documents and prepares, examines and negotiates contracts and structures transactions, which may involve government grants, leases, licenses, purchases and sales, real estate, joint ventures and acquisitions, marketing and consulting agreements and other commercial contracts
? Influences decision-makers in assigned programs through strong communication skills.
? Manages outside counsel effectively.
? May supervise and/or provide guidance to less experienced attorneys and/or paralegals and other support staff.
? Performs and manages special projects as requested by department management.
? Serves as the primary legal contact for various clients.
? Willing to travel and work long or flexible hours, as needed
MINIMUM QUALIFICATIONS
? Juris Doctorate, or equivalent law degree from a recognized law school in the Asia-Pacific Region plus LLM.
? License to practice law in at least one jurisdiction.
? 5 years of relevant legal experience or at least 4 years of relevant legal experience coupled with assumption of significant responsibilities for a geographic area or subject matter expertise.
? Experience in general corporate law in the US and in the Asia-Pacific (preferably China).
? Experience preparing, reviewing and advising staff on negotiating contracts, including leases, licenses, purchase and sale agreements, insurance, real estate agreements, marketing and consulting agreements, and other commercial contracts
? Experience structuring complex transactions, including joint ventures, acquisitions and entity formation
? Experience developing, directing and managing multiple projects.
? Willing to reside in the Asia-Pacific Region, (preferably Beijing China), with ability to travel to field offices within the Asia Pacific Region.
? Native/fluent spoken Mandarin and fluent English speaking and writing skills.
? Experience working with multiple cultures.
PREFERRED KNOWLEDGE, SKILLS & EXPERIENCE
? In-house experience and/or law firm experience advising sophisticated clients and senior management.
? Experience working with and supervising outside counsel
? Experience with general tax and charity law
? Experience developing, directing and managing multiple projects and implementing strategic program goals.
? Excellent legal research skills.
? Working knowledge of current trends in relevant discipline.
